Senior Legal Counsel Corporate Governance and Capital Markets

About the role
Key Responsibilities: · Assist with the oversight and implementation of SEC and NASDAQ public disclosure requirements, including filing of periodic and annual disclosure documents (6-K, 20-F etc.). Coordinate and link key functions to the disclosure process, including Legal, Investor Relations, Communications, Compliance, Accounting, Tax and Treasury departments.· Develop and implement the company's legal strategy, corporate policies and internal procedures, ensuring alignment with legal requirements and best practices.· Provide legal support in context of venturing into capital markets. · Provide legal counsel to the executive team on a wide range of issues including corporate governance, regulatory compliance, and risk management.· Draft, review, and negotiate contracts, agreements, and other legal documents.· Manage and oversee litigation, arbitration, and other dispute resolution processes.· Ensure compliance with all relevant laws and regulations, including DIFC regulations.· Collaborate with external legal advisors and represent the company in legal proceedings.· Lead and mentor the legal team, fostering a culture of excellence and continuous improvement.· Advise on cross-border transactions and international regulatory compliance, including trade laws, export controls, and foreign investment regulations.· Monitor and manage the company’s exposure to legal and regulatory risks, including overseeing the identification and mitigation of legal risks in business operations.
Within 60 days you will: · Meet with the Headquarters’ Legal Team; develop an understanding of the key stakeholders· Within the wider International Legal Department; understand the structure of the Dubai and operating company Legal teams and commence building relationships with colleagues across these teams.· Develop your acumen related to Kyivstar Group; have directed one-on-ones with members of key teams to develop an understanding of how each team contributes to Kyivstar Group’s regulatory and ethical obligations, practices and procedures.· Provide daily legal support and management of capital markets related activities, including debt financing, equity financing, public market disclosure.· Negotiate and draft agreements in support of debt and equity capital markets transactions.· Work to understand and advise the business on developments in applicable SEC and NASDAQ regulations.· Assist in the drafting and review of public disclosure relating to the company’s listing on NASDAQ.· Create and maintain internal records in accordance with SEC and NASDAQ.· Become familiar with the corporate governance structure and operation of HQ and subsidiary entities.· Identify legal and other risks.
Within 90 days you will: · Contact and instruct external parties, such as outside legal counsel.· Attend, co-ordinate and initiate interdisciplinary meetings and projects within the group.· Attend Board and/or Committee meetings and support with drafting of resolutions and meeting minutes.· Assist with special capital markets related projects being undertaken by the group.· Draft, review and assess public disclosure documentation.· Review and assess financial statements and disclosure from legal perspective.· Collaborate across teams to improve delivery to our customers whilst embedding your entrepreneurial and innovative spirit in the way you work at Kyivstar Group.· The structure of the team you will join is flat, and you will report directly to our Deputy General Counsel. Your colleagues are intelligent, friendly, supportive and experts with global experience in each of their respective fields of Law. You will liaise with internal stakeholders across Accounting, Legal, Investor Relations, Communications, Tax, Treasury, IT departments, and Operating Companies as well as with external stakeholders who include (but are not limited to) Law Firms, Banks, SEC, other Regulators, NASDAQ, Euronext, other international Stock Exchanges, Financial Printers, Notaries.Critical Skills & Experience · US qualified lawyer with experience in a prominent UK or US law firm.·
