Lead Corporate Counsel, Business Transactions

The Lead Counsel will be a member of the Business Development & Licensing Transactions team, supporting company-wide business development activities such as licensing, collaborations, and partnerships. This position will also collaborate with Finance, R&D, Procurement, Product, and Commercial teams to provide legal guidance and transactional support. The ideal Lead Counsel should be well-versed in various commercial agreements commonly used in the genetic testing business and be an expert in drafting and negotiating complex services contracts with pharmaceutical companies, research collaboration agreements, clinical trial agreements, supply agreements, laboratory services agreements, etc. The fast-paced environment of the company requires a highly skilled and business-savvy lawyer who can focus on key risks and provide clear, focused, actionable advice.
Primary Responsibilities:
- Provide creative and practical legal guidance and solutions to internal teams on technology, licensing, research collaborations, M&A, and other complex commercial transactions.
- Independently draft, negotiate, and finalize complex commercial agreements that achieve business objectives and continue to support those business relationships once completed.
- Mentor junior team members and manage outside counsel and consultants.
- Manage a heavy workflow, set priorities with internal clients, and meet deliverable timelines.
- Provide ongoing assistance with training, monitoring, and improving compliance with the Legal Department’s policies and procedures.
Qualifications:
- 10+ years of experience as a practicing attorney with significant knowledge and experience in structuring, drafting, and negotiating complex commercial agreements ranging from IP licensing, joint development, strategic alliances, distribution, supply, and manufacturing.
- Strong experience supporting M&A transactions, general commercial law, software licensing, data protection, and cross-border transactions.
- 5+ years of experience advising clients in biotech or life science companies.
- Experience in working with pharmaceutical companies is highly desirable.
- JD degree from a top-tier law school.
- Member of the California Bar (RIHC is acceptable) or another state’s bar.

- Demonstrated high ethical behavior.
- Strong technology skills and proficiency with Microsoft Office and Google Suite.
The pay range is listed and actual compensation packages are based on a wide array of factors unique to each candidate, including but not limited to skill set, years & depth of experience, certifications and specific office location. This may differ in other locations due to cost of labor considerations.San Carlos, CA $180,000—$210,000 USD
