What You’ll Be Doing:
The Senior Director, Commercial Legal will be responsible for setting legal strategy, overseeing key deals and relationships, and acting as a trusted business partner as well as a company-wide thought leader. Reporting to the CFO, your responsibilities will include ownership of all aspects of Menlo’s negotiations with customers and vendors, instituting compliance policies while maintaining the entrepreneurial culture of the company, oversight of legal operations, and working on all aspects of Intellectual Property, Privacy, employment, and corporate issues. The ideal candidate will have deep experience in strategically working with Global Sales teams to execute and negotiate commercial transactions and contracts.

Key Responsibilities:
Negotiate key strategic customers and partner deals in collaboration with the Global Sales organization.
Manage escalations, collaborate across other teams, and develop solutions to enable team and business partners to close deals.
Provide counsel to all levels of management regarding the business environment, challenges, and corporate objectives.
Oversee the management and maintenance of all company legal templates, including our Terms of Use, Privacy Policy, PIIA, GDPR, Employment Contract, etc.
Ensure our contracts are delivering the right objectives for the company & mitigate risk
Stay abreast of changes in laws and regulations impacting the business and communicate to appropriate parties any changes to controls, policies and procedures.
Evaluate risk factors impacting business decisions and anticipate unique legal issues that could affect the company.
Manage prosecution of patent applications with counsel and identify relevant strategies for international filings on a case-by-case basis.
Communicate and negotiate with external parties (i.e., regulators, external counsels, vendors, etc.), creating relationships based on trust.
Develop the organization's policies on industry-specific issues, corporate governance, or regulatory affairs.
Willingness to roll up his/her sleeves and take on tasks both big and small. A collaborative approach with a low ego in a fast-paced, team-oriented environment.
Strategic sense to build a team, but tactical enough to execute on a day-to-day basis.
Strong sense of ownership, desire to make a cross-functional impact, eagerness to learn, and customer orientation.
Specify internal governance policies and regularly monitor compliance.
Address other ad-hoc or specialized legal issues.
What We’re Looking For:
Minimum 8-10 years experience and JD degree from an accredited school with proven leadership in a SaaS environment, preferably in cloud security.
Broad direct experience with a variety of legal matters, including strategic business agreements, information security and compliance, privacy, corporate governance, intellectual property rights, international expansion, and management of affiliates.
Deep expertise in commercial contract negotiation 7+ years of experience.
Strong negotiating skills with both legal and financial/commercial issues.
Excellent knowledge and understanding of contract & corporate law and procedures.
