About the Opportunity

The Legal department provides exceptional counsel that assures legal compliance and enables FirstEnergy to optimize business outcomes in all legal, regulatory and commercial contexts. The Legal department is involved in every major activity and initiative involving all FirstEnergy entities, including FirstEnergy Transmission, LLC.

We are seeking a proactive and detail-oriented attorney to join our Legal team supporting our growing transmission business on a variety of corporate transactions and assisting with corporate governance and board-related matters. The ideal candidate will have a strong foundation in corporate or transactional law, excellent organizational skills, and a desire to grow within a dynamic legal department.

Key Responsibilities:

Corporate Governance & Secretary Support:

  • Assist with preparation of board and committee materials, including agendas, resolutions, and meeting minutes.
  • Help maintain corporate records and manage subsidiary governance documentation.
  • Support compliance with regulatory filings and corporate policies.
  • Coordinate logistics for board and committee meetings.

Transactional Support:

  • Assist in drafting, reviewing, and negotiating commercial agreements, including NDAs, purchase agreements, service agreements, leases, and financing documents, with a focus on risk mitigation and regulatory compliance.
  • Support legal due diligence and documentation for mergers, acquisitions, and other strategic transactions.
  • Collaborate with internal stakeholders to ensure contracts align with business and legal requirements.
  • Coordinate with title companies, surveyors, and municipal authorities to ensure clear title and adherence to zoning and land use laws
  • Maintain and organize contract templates and legal documentation.

Qualifications:

  • Juris Doctorate from an accredited law school.
  • Qualified candidates will be licensed to practice law in the United States, a member in good standing with a State bar, and the ability to either become a member of the Ohio State bar or qualify for corporate counsel registration in Ohio within twelve months.
  • Attorney II: Minimum of 2 years professional work experience
  • Attorney III: Minimum of 3 years professional work experience
  • Attorney IV: Minimum of 5 years professional legal experience, preferably with exposure to corporate transactions or governance (law firm or in-house).
  • The ability to respond to clients’ needs consistent with corporate values, strategies, risks, and objectives.
  • Ability to deliver quality, accurate work within established deadlines.
  • Experience in the utility or energy sector.
  • Familiarity with federal and state regulatory frameworks governing electric utilities.
  • Strong legal research, writing, and communication skills.

Preferred Qualifications:

  • Experience interacting with senior management and boards of directors.
  • Ability to work on multiple tasks simultaneously in a dynamic work environment.
