We’re looking for a Deputy General Counsel to assist and partner with the General Counsel on a daily basis to represent the legal interests of the company. You will work closely with business stakeholders around the company and will be responsible for management and oversight of the Company's commercial and corporate activities, including commercial agreements, support for operations, employment matters, intellectual property portfolio, and management of corporate subsidiaries. You will be able to adapt to rapidly changing priorities and business needs and comfortable being asked to advise on general matters that might not fit squarely within your area of expertise. The Deputy General Counsel is a key member of the Legal and Corporate Compliance team and will report to the General Counsel.
You will:· Draft, revise, and negotiate a variety of strategic, high-value contracts, including strategic partnership agreements, outside vendor contracts, technology licenses, non-disclosure agreements and employment related agreements.· Support our Sales team in the negotiation of sales agreements, broker agreements and related amendments. Provide coaching to sales and account management teams regarding contract terms and regulatory issues, amendments and legal/regulatory service-related topicsEnhance the company's contracting processes to enable the effective and efficient drafting, reviewing, and negotiating of agreements.· Lead IPO-preparedness efforts related to Legal and ESG processes. Manage due diligence processes for fundraising activities· Support Product Strategy team in evaluation of new strategic efforts and product design· Serve as lead counsel to Human Resources regarding employment policies, complaints/investigations, terminations, hiring issues, HR compliance· Serve as corporate secretary for stop loss captive insurance company subsidiary. Advise on stop loss operations and oversee risk management plan for the captive insurance company.· Manage the company’s portfolio of registered trademarks· Manage the company’s corporate Insurance portfolio with support from the Finance team
You bring:· 7+ years of legal experience practicing corporate law, preferably with a combination of law firm and in-house counsel experience advising fast-paced health tech or healthcare entities through high-growth periods.· Substantial experience negotiating strategic partnerships and sales agreements.· Data privacy, employee benefits and insurance (ERISA, HIPAA) experience a plus.· Exceptional organizational, project management, and prioritization skills.· Demonstrated success in building strong, trusting relationships with business partners and influencing the decision making of executive leadership.· Ability to assess, prioritize and clearly communicate risk to others; advise based on risk tolerance of the organization; remain open and responsive to change.· Outstanding written and oral communications skills.
