Mission
The ideal candidate is a business-minded commercial lawyer who is focused on execution, prepared to lead company deals primarily with its high-profile enterprise customers throughout the world, and who, therefore, collaborates with our Sales, Customer Success, and other teams within the company. The candidate welcomes the dynamic environment that comes with a growing company. You will work closely with the Head of Legal and other team members to ensure legal compliance and mitigate risks associated with our company's operations.
Responsibilities
- Take the lead in negotiating and managing the entire lifecycle of high-value MSAs and bespoke, complex agreements with enterprise-level customers.
- Draft, review, revise, and negotiate a wide variety of commercial contracts, including SaaS /technology licensing agreements, terms of service, vendor/supplier agreements, partnership agreements and NDAs under US, English, and CIS laws.
- Provide legal support on privacy and data security matters, including reviewing and negotiating data processing agreements, privacy policies, SLAs, and security questionnaires.
- Advise your business colleagues across the organisation on various ad hoc legal questions, including compliance, intellectual property, privacy, litigation, employment and other laws relevant to Smartcat’s industry and business, primarily under EU, US, and CIS laws.
- Assist in managing entity maintenance and corporate governance for the Smartcat group of companies, including interaction with registration and regulatory authorities, notaries, and banks worldwide.
- Collaborate with other teams—Sales, Customer Success, Finance, Marketing, HR, and Engineering—on various legal matters related to the company.
- Create and provide legal training to business colleagues.
Requirements
- Higher education, a master's degree in the UK/US/EU would be an advantage.
- Minimum of 4 years of work experience in IT legal consulting or in-house at a high-growth technology company with solid experience in drafting and negotiating SaaS/software license agreements, MSAs.
- Ideal candidate would be with strong background in commercial law, so knowledge of English contract law is a must. Good understanding of privacy laws and data security (GDPR, UK GDPR, CCPA, and CPRA) as well as intellectual property law, basic principles of corporate law, international commercial law norms and cross-border transactions.
- Understanding and familiarity with compliance management and third party risk management is preferred.
- Outstanding negotiation and drafting skills in both Russian and English (C-1) with the ability to communicate complex legal concepts clearly and effectively to stakeholders at all levels.
- Experience in working with CLM systems (e.g. Ironclad) would be an advantage.
