Job Description
Position Overview
As an Assistant General Counsel, Commercial Transactions you will be focused on energy and infrastructure project development and specific commercial transactions related thereto. You will provide professional legal advice, counsel, and guidance to support the development, construction, finance and management of Invenergy’s growing renewable and clean energy portfolio.
Responsibilities
Provide legal support to Invenergy’s project development, commercial execution and finance and capital markets teams on a wide variety of commercial transactions, including power purchase and similar offtake agreements, build-transfer agreements, commodity and currency hedge and trading agreements, interconnection agreements, EPC agreements, equipment supply agreements, operations and maintenance agreements as well as debt financing, cash and tax equity financing, and joint venture agreements.
Provide guidance on transaction structuring.
Support the drafting and negotiation of project and financing documentation.
Select and efficiently manage sophisticated outside counsel.
Ensure consistency across transactions and compliance with internal policies.
The position will also provide legal advice and support in other areas of the company as needed and able.
The position will require overtime and travel at times.
Minimum Qualifications
JD degree and admission to practice law in at least one U.S. state
5-7+ years of experience either within a law firm or as in-house counsel supporting utility scale energy project development, finance and M&A transactions.
Experience drafting, negotiating, and advising on sophisticated energy related project development, finance and M&A documentation
Proven ability as a legal lead to drive transactions to successful completion.
Experience researching and analyzing applicable laws and regulations; conducting due diligence reviews; and managing transaction closings.
Able to work cross-functionally with internal and external stakeholders under minimal supervision.
Excellent communication skills and ability to relay complex concepts to members of management
Able to work under minimal supervision
Base Pay
$180,000.00 - $216,000.00 USD Annual
Bonus: 25% - 40%
