Job Description:
Under direction of the VP, Associate General Counsel, this role takes part in all aspects of the advisory process of complex legal and regulatory issues and works closely with senior management to execute on financial and strategic advice across a variety of transactions for corporate clients. Further, this role is responsible for building strong stakeholder relationships balanced with a strong risk mitigating and compliance-driven culture, which firmly establishes those disciplines as critical to the success of our customers and the company.
Creates a culture of effective risk management, accountability, and demonstration of risk awareness across the organization.
Responsibilities:
Advise business clients on strategic and complex issues and requirements applicable to assigned role such as on new initiatives, compliance with laws, regulations, policies and procedures, contract review and analysis, training, corrective actions, risk and issues raised in governance committees. Identifies, assesses, communicates, and provides oversight and strategic guidance on new or proposed legal and regulatory requirements, emerging legal and regulatory risks and trends.
Supports the Chief Legal Officer and Office of the Corporate Secretary on Board matters and attends Board and Committee meetings as needed. Assists with special projects and initiatives, as well as audit and regulatory action plans and responses.
Required Qualifications:
J.D Law Degree
15+ years of regulatory experience, in-house or outside counsel
Preferred Qualifications:
20+ years of regulatory, outside, or in-house counsel or related.
Experience in one or more of the following practice areas: prudential banking matters, consumer financial services (including credit card, mortgage, student loans and deposit products), capital markets transactions
