Job Description

Opportunity to work with the Office of General Counsel for the University of Maryland Medical System (“UMMS”) and its various hospitals and health care operations across the State of Maryland. This position will assist the transactions and regulatory group, under the direction of a senior counsel, in all functions of the Legal Department and will be primarily responsible for technology contracts, including but not limited to complex software agreements and related  transactional work, providing legal counsel and advice to the corporate officers, managers and employees of the System and its various subsidiaries and affiliates.

Specific responsibilities may vary based on expertise and specialty of the individual (e.g., regulatory, contracting, transactions).

• Contract work within a health care regulatory framework, including, but not limited to, drafting/reviewing/negotiating  commercial technology and procurement purchase contracts, , licensing agreements, data use agreements , and consulting agreements.
• Ensuring contracts adhere to applicable UMMS standards and appropriately mitigate the legal and risk considerations related to intellectual property rights, data security, applicable privacy laws, indemnity, limitation of liability and insurance.
• Under the oversight of the Sr. Counsel,  assist in developing and improving process efficiency, risk mitigation and standardization of all technology contracting work, in connection with the IS&T department, Supply Chain Management, and all related support staff. 
• Regulatory work, including, but not limited to, researching and interpreting federal and state laws, regulations, interpretive guidelines and case law related to corporate and health care issues.
• Provide interpretation of contract terms and conditions to stakeholders, inclusive of any risk acceptance guidance.
• Ensure information security, insurance, legal, risk and privacy process controls are met and work with UMMS shared services teams as necessary to review the enumerated risk areas.
• Frequent interactions with other internal stakeholders across functional groups.
• Develop, review and/or revise corporate policies and procedures.
• Corporate compliance work including investigating internal issues and interpreting applicable law.
• Review, evaluate and render legal determinations concerning internal programs or projects and the implementation of state and federal government and accreditation requirements and/or regulatory guardrails.
• Support transaction and regulatory attorneys on other general transactional work and projects.
• Other duties as assigned.

Qualifications

Scope of Position

1. The responsibilities of this position require the individual to research, analyze, evaluate, interpret and resolve issues and problems. Further the individual guides and advises corporate officers and managers to ensure they are fully aware of the legal ramifications of their actions and decisions and advises them as to the applicable legal requirements or precedents.
2. The individual in this position must remain current with legal issues affecting the System and the health care industry.
3. The individual acts within corporate policies and guidelines and according to the tenets of behavior of the legal profession.

Education and Experience

1. Juris Doctor Degree from an accredited law school.
2. Admission to the Bar of a state or the District of Columbia, Maryland Bar preferred.
