M&A and Corporate Development Senior Manager

<h2>Tasks &amp; Responsibilities </h2> <p>Valuation and Business Case<br/> •    Perform valuation and other financial analyses to support potential collaborations, acquisitions, divestments, as well as in and out-licensing transactions (DCF, multiple analyses, LBO, etc.)<br/> •    Business case modelling including pharma specific factors such as risk / probability weighting; ability to create multiple business case scenarios<br/> •    Engage with and challenge business unit / commercial teams in business case development<br/>  <br/> M&amp;A and Corporate Development Process<br/> •    Manage internal project team(s) composed of subject area experts through the initial assessment and due diligence phases, as well as coordinate inputs into board decision documents<br/> •    Drive the organization towards a goal or decision in a coordinated, transparent way, promoting strong collaboration; prioritization and identification of critical issues<br/> •    Interact with internal legal counsel team as part of the negotiations / legal contract drafting (i.e. coordination between legal and internal area experts)<br/> •    Capable of managing smaller transaction processes end to end with minimal supervision<br/> •    Interact with and manage transaction services providers in Corporate Development and M&amp;A processes<br/> •    Assist in development of negotiation tactics; actively participate in negotiation of transactions<br/>  <br/> Presentation and Decision Support<br/> •    Creation of Management Board, BoD and other internal decision documents<br/>  <br/> Opportunity Assessment and Origination <br/> •    Assist in assessment of M&amp;A and Corporate Development opportunities including strategic fit, rationale and potential critical issues<br/> •    Opportunity screening and origination work (primary analyses of assets/targets, external sourcing)<br/> •    General market research (transactions, competitors and/or players) in key Therapeutic Areas or Territories<br/>  <br/> Strategic Planning<br/> •    Performance of selected strategic analyses and support of internal strategic planning process.<br/>  </p> <h2>Education</h2> <p>•    University degree, likely in business studies, economics or engineer<br/> •    MBA or advanced degree a plus<br/> •    Strong business proficiency in English.  Knowledge of other languages a plus<br/>  </p> <h2>Specific Knowledge</h2> <p>•    Corporate Finance, Accounting, Valuation (DCF, multiple-based valuation, LBO, etc.) and M&amp;A process<br/> •    Excellent command of Excel for business cases, modelling, valuation and simulations<br/> •    Excellent Powerpoint and Word skills for development of presentations, transaction documents (e.g. CIM, NBOs, etc.)<br/> •    Comfortable with complex quantitative data <br/> •    High maturity level and strong interpersonal skills for internal team management and counterparty interactions; interactions will frequently be with senior level management<br/> •    Some understanding of Corporate Development collaborations and M&amp;A contracts</p> <h2>Experience</h2> <p>•    4-6 years’ experience in Strategy Consulting, Investment Banking or Transaction Services (Deloitte, PWC, E&amp;Y, KPMG)<br/> •    Specific experience in the science sector and/or international experience also a plus<br/> •    Strong desire to (i) boost decision-maker mindset and (ii) step into a role where team leadership is crucial for success <br/>  </p> <h2>Values</h2> <p>· Care: we listen &amp; empathize, we value diverse perspectives &amp; backgrounds and we help each other succeed.<br/> · Courage: we challenge the status quo, we take full ownership and we learn from our success &amp; failures<br/> · Innovation: we put the patient and customer at the center, we create novel solutions and we empower entrepreneurial mindsets. <br/> · Simplicity: we act decisively and avoid over-analysis, we understand why before we act and we are agile &amp; keep things simple.</p> <p> </p>
