ClickBank is seeking a talented and experienced Senior Paralegal to be responsible for providing high-level legal support to our team. The ideal candidate must be a confident self-starter who can prioritize and manage multiple tasks and responsibilities with agility and efficiency. This individual will coordinate and complete time-sensitive and confidential work in a broad range of areas, including drafting contracts, legal policy and administration, partnerships, and joint ventures; corporate governance; intellectual property law; patent law, licensing of IP rights and IP due diligence; food and drug law, advertising law, real estate law, commercial law, securities, computer law and privacy. Reporting to our Chief Financial Officer, you will be the legal go-to in house and work directly with our outside counsel as needed. We are looking for someone that thrives in a fast-paced, dynamic and energetic environment. The right candidate will be a creative problem solver with exceptional judgment.
ESSENTIAL DUTIES & RESPONSIBILITIES:
- Provide comprehensive support to our Executive Team and all levels of the organization on complex legal matters.
- Lead our corporate secretarial function, including drafting minutes, resolutions and written consents and maintaining corporate minute books and other corporate records.
- Maintain extensive knowledge of the applicable legal framework (e.g., court rules, legal deadlines, patents), laws, regulations, and industry policies within department specialty area.
- Conduct legal research independently and analyzes data from various sources.
- Draft, process, negotiate, and review legal documents and correspondence for complex legal matters.
- Review complex business materials (e.g., marketing collateral, proposals, requests for proposals) and programs for compliance with applicable laws and ClickBank internal policies.
- Maintain knowledge of ClickBank’s business, Legal and Corporate Affairs processes, and company policies.
- Draft, revise, and negotiate contract wording to address various situations as they arise.
- Coordinate with cross-functional teams during contract review and provide guidance on commonly requested edits, non-standard terms, policies, and questions.
Requirements
- Bachelor’s Degree AND 5+ years experience in paralegal, legal administration, or relevant area.
- Have a keen attention to detail; create pristine and professional work product while also using good judgment to achieve desired results within timelines.
- Have excellent drafting skills, particularly depicting complex ideas clearly and concisely.
- Have professionalism in both verbal and written work.
- Ability to uphold the highest standards of discretion and confidentiality.
- Have positive approach and able to work well in a close-knit team setting.
- Have Integrity, ability to own mistakes and to learn from them.
- Ability to prioritize, be flexible and multi-task, and to track and follow up on projects.
- Proactive, enthusiastic and innovative team player with a strong work ethic.
- Excellent communication and interpersonal skills while working collaboratively in a team environment with all levels of the company, including executive management.
- Demonstrated ability to work independently with minimum supervision, maintain patience in high pressure situations and take initiative where appropriate.
- Significant experience with drafting and negotiating contracts, partnerships, and joint ventures strongly preferred.
- Experience with corporate governance.
- Broad, overview experience in intellectual property law, including patent law, licensing of IP rights and IP due diligence.
- Exposure to or familiarity with the following areas of law: food and drug law, advertising law, real estate law, commercial law, securities, computer law and privacy.
- Experience dealing with regulators.
