Position Summary
The Vice President, Deputy General Counsel is a senior leader within the Legal Department, responsible for directing the day-to-day operations of the function and ensuring the effective delivery of legal services across Epiq’s global business. Reporting to the Chief Legal Officer and General Counsel, this role serves as the Legal Department’s primary operational leader, with a strong focus on department leadership, mergers and acquisitions, and litigation oversight.
The Deputy General Counsel plays a critical role in driving execution, managing risk, and enabling business growth through practical, business-aligned legal guidance. This position also contributes to key legal domains including commercial contracting, technology transactions, data governance, artificial intelligence initiatives, intellectual property, and enterprise risk.
This role requires a hands-on leader who can manage complex legal matters, oversee high-impact corporate transactions and disputes, and build a high-performing, scalable legal function.
Key Responsibilities
Primary Focus Areas
Lead the day-to-day operations of the Legal Department, ensuring efficient, consistent, and business-aligned service delivery across the organization.
Serve as the primary operational leader for the Legal function, driving execution, prioritization, and alignment with enterprise objectives.
Oversee mergers, acquisitions, strategic investments, and other corporate transactions, including due diligence, negotiation, execution, and integration support.
Provide leadership and oversight for litigation, claims, investigations, and dispute management, including strategy, risk assessment, and management of outside counsel.
Establish and enhance legal processes, governance frameworks, and operating models to improve efficiency, scalability, and risk management.
Secondary Focus Areas
Provide oversight of commercial contracting and technology transactions, including software licensing, SaaS, cloud, AI-related agreements, and complex customer and vendor arrangements.
Oversee privacy, data governance, cybersecurity, and artificial intelligence governance, including emerging regulatory considerations and responsible use of data and AI technologies.
Provide guidance on intellectual property, software licensing, and protection of company assets.
Partner with Finance and business leaders on insurance, claims management, and broader enterprise risk matters.
Collaborate with cross-functional leaders across Sales, Operations, Technology, Product, Compliance, Security, and Human Resources to address legal and regulatory risks.
Lead, develop, and manage a team of attorneys and legal professionals, including performance management, coaching, and succession planning.
Drive continuous improvement of legal processes, systems, and service delivery.
Qualifications
Juris Doctor (JD) from an accredited law school and active admission in at least one U.S
