Commercial Counsel

IDEXX is looking for a highly skilled and well-rounded Mid-to-Senior Level Commercial Counsel to join our global Legal & Compliance Team and support key commercial relationships including corporate accounts customer groups, our dynamic and fast-growing software business, and other complex commercial transactions. This role will report to the Associate General Counsel (EMEA), and will be part of the Legal & Compliance Team’s global COLA (Commercial, Operations, Litigation and Antitrust) group. The role requires a business-oriented, proactive legal professional who enjoys engaging in a wide range of commercial matters while working collaboratively with business stakeholders and colleagues in Europe and beyond.
This role is hybrid with base in Hoofddorp, the Netherlands.
What You Will Be Doing:
In this role you will structure, draft, and negotiate complex commercial contracts for the full range of IDEXX products and services, including diagnostics agreements, customer-facing software, and service agreements, as well as licensing, development and service agreements with vendors and partners.
You will act as trusted advisor/general counsel to stakeholders within your portfolio, providing strategic, business-minded legal solutions; engage in regular conversation with key business stakeholders; and participate in business organization leadership meetings. You will identify areas where specialized expertise is needed and collaborate with in-house colleagues and/or retain and oversee outside counsel to ensure appropriate legal support is provided. In collaboration with our Legal Operations team, you will identify opportunities for, design, implement, and manage contract processes and related infrastructure enabling efficient commercial contracting at scale.
What You Need To Succeed:
Education/Bar Membership
• A law degree (Bachelor’s or Master’s degree in law) from a recognised university
• Admission to the bar in the Netherlands or equivalent legal qualification in an EU jurisdiction or internationally
• Additional certifications in commercial law, contract management, or specialised legal fields (e.g., data privacy, competition law, AI regulation) are a plus
Experience
• Substantial experience (at least 5-8+ years) in private practice or in-house (both preferred), ideally in a multinational context, in substantive areas of commercial contracts and software licensing; experience working directly with internal business/sales teams and engaging with customers
• Experience in a highly-matrixed, multinational, public company environment is highly valued
Required Skills and Abilities
• Excellent technical legal knowledge in contract and commercial law
• Demonstrated excellent core legal skills, including commercial contract structuring, drafting and negotiation
• Deep experience supporting SaaS products, including knowledge of customer software/technology contract drafting and negotiation
• Understanding of privacy and data matters in a commercial context, particularly as they apply to product and SaaS offerings, including European GDPR, the European Data Act and analogous laws in other global jurisdictions
• Ability to grapple successfully with complexity and to translate complex legal issues into practical guidance for business stakeholders and legal colleagues
• Ability to think strategically and creatively, to identify and resolve legal issues
• Demonstrated ability both to collaborate effectively in a team environment, and to build strong collaborative connections and relationships with clients and colleagues across a global organization
• Ability to build credibility quickly with stakeholders, and to provide practical legal expertise in challenging and complex business situations
• Able to confidently apply legal and business judgment in novel, fast-moving situations of significant value and impact
• Exceptional business judgment and creativity with a track record of collaborating and thriving in a fast-paced, team environment
• Ability to simultaneously take action that tackles immediate problems while building programs and processes that problem-solve at a programmatic level

• Excellent organizational skills, including project management
• Superior analytical, written and verbal communication skills in both one-to-one and group contexts, in contexts ranging from negotiations to operational settings to senior executive briefings
• Comfort in use of legal operations tools including contract lifecycle management, workflow, e- billing/matter management platforms, and emerging AI tools
