Position Summary: 

The Associate Corporate Counsel plays a critical role in supporting Family Allergy and Asthma’s legal and regulatory functions. This position is responsible for ensuring compliance with federal and state healthcare laws, including HIPAA, Stark Law, and the Anti-Kickback Statute, while also leading efforts related to privacy, policy development, and risk mitigation. The Staff Attorney will conduct legal research, monitor evolving regulatory landscapes, and serve as a key advisor to operational leaders on matters of compliance, business ethics, and contractual risk. This role also includes managing corporate filings and registrations, supporting internal and external audits, and working closely with the Corporate Counsel/Chief Compliance Officer to uphold organizational standards. In addition, the Staff Attorney drafts, negotiates, and reviews a wide range of contracts and contributes to the continuous improvement of the company’s compliance and privacy programs.


Essential Responsibilities:

· Ensure organizational compliance with healthcare laws and regulations, including the Stark Law, Anti-Kickback Statute, HIPAA, and other applicable federal and state requirements.

· Conduct and maintain multi-state legal surveys to track emerging regulations impacting healthcare delivery and business operations.

· Monitor legislative and regulatory developments; conduct legal research and communicate timely updates on changes relevant to the company.

· Prepare and manage corporate filings, business registrations, and other legal documentation to ensure regulatory compliance.

· Draft, review, and update internal policies and procedures in collaboration with subject matter experts, ensuring alignment with legal, regulatory, and operational standards.

· Support the development and maintenance of policies addressing healthcare compliance, privacy, security, and employment law requirements.

· Partner with the Chief Compliance Officer, Privacy Officer, and Security Officer on matters involving HIPAA compliance, data privacy, and information security.

· Draft, review, and negotiate a broad range of contracts, including service agreements, Business Associate Agreements (BAAs), data use agreements, vendor contracts, and clinical or professional services agreements.

· Assist in responding to regulatory audits, investigations, and advocacy efforts involving federal and state healthcare agencies.

· Develop and deliver legal and compliance training programs for staff and leadership to promote regulatory adherence and organizational integrity.

· Support resolution of payer and provider disputes, including participation in alternative dispute resolution processes and settlement negotiations.

· Evaluate and interpret periodic risk assessments to identify and address areas of elevated compliance risk.

· Assist in developing an annual, system-level compliance work plan focused on continuous improvement and risk mitigation.

· Support the Corporate Counsel and Chief Compliance Officer in managing the Corporate Compliance Committee and its initiatives.

· Monitor progress on compliance initiatives using dashboards, metrics, and completion of annual work plans.

· Participate in the investigation, documentation, and follow-up of reports related to compliance concerns, patient privacy violations, and potential misconduct.

· Maintain an incident tracking system and prepare regular reports on compliance and privacy-related matters.

· Respond to inquiries, audits, and investigations initiated by external regulatory bodies in coordination with the Corporate Counsel/CCO.

· Serve as a legal resource and internal advisor to employees and leadership on compliance topics including business ethics, billing practices, physician contracting, fraud and abuse laws, Medicare/Medicaid requirements, and data privacy.

Education, Prior Work Experience, Special Skill and Knowledge Requirements:

· Juris Doctor degree.

· 3+ years of healthcare legal experience, preferably in a multi-state or multi-specialty practice setting.

· Strong verbal and written communication skills.

· Comprehensive knowledge of statutes, rules, and regulations pertaining to healthcare businesses, including federal and state compliance frameworks.
