WHY THIS ROLE IS VALUABLE

This individual will be responsible for oversight of the entire breadth of retail real estate paralegal operational support, with the remainder focused on Legal Operations support.

HOW YOU ADD VALUE

Functions:

  • Assist attorneys with documentation, due diligence and closing of real estate transactions, including acquisitions, dispositions, loans/refinancing and mergers

  • Facilitate the collection, review and dissemination of due diligence materials including leases, service contracts, vehicle titles, franchise agreements, management agreements, licenses and permits

  • Order/analyze title commitments, surveys, and other third party reports 

  • Prepare non-disclosure agreements, broker agreements, access agreements, critical dates checklist and closing documents 

  • Actively participate in all closing activities, including obtaining signatures, maintain organized copies of closing documents and ensuring a final closing book is received from counsel

  • Communicate with title companies, surveyors and third-party vendors as needed to insure a smooth closing

  • Periodically request organizational documents for entities in connection with real estate transactions. This includes forming, qualifying and structuring corporate entities, drafting certificates of authority and resolutions, and requesting certified copies formation documents or good standings

  • Abstract leases, operational contracts and other due diligence related documents 

Operational Focus:

  • Assist with management transitions

  • Document handling & abstracting

  • Prepare and update property structure charts and financing summaries  

  • Handle operations agreements

  • Liquor License and trademark matters

  • Assist with / handle vehicle title issues

  • Permit application reviews and obtaining signatures (uploading all docs into DocuSign)

  • File contracts and other asset docs

  • Coordinate with Legal Operations Director to identify, collect and manage metrics and dashboards

  • Review title documents as necessary to assist on operational matters

  • POAs as needed

WHAT YOU BRING TO THE ROLE

Required:

  • Bachelor’s degree and a US paralegal certific
