Basic Qualifications

  • Accounting majors - Master or Bachelor of Accountancy (or dual accounting and finance majors) with a graduation date between December 2026 and June 2027

  • Coursework in accounting and finance, MUST BE eligible for CPA licensure upon graduation

Preferred Qualifications

  • Strong analytical abilities and financial and computer skills (Excel / PowerPoint in particular)

  • Excellent verbal and written communication skills

  • A demonstrated ability to work cooperatively and be a team player

  • Basic knowledge of US Generally Accepted Accounting Principles

Drawing on Houlihan Lokey’s market leadership in middle-market M&A transactions, our Financial and Accounting Due Diligence team provides candid, unbiased, and rigorous support on the accounting and financial matters most impacting deal value. Our Financial and Accounting Due Diligence services assist investors in identifying and evaluating key value drivers and risk factors.

We enable our clients to:

  • Gain an understanding of significant patterns and event impacts in the historical performance

  • Evaluate the quality and sustainability of the reported earnings and free cash flow

  • Analyze the quality and potential realizability of the balance sheet

  • Understand historical working capital trends and provide insights to develop an appropriate peg

  • Identify and evaluate the potential impact of key assumptions and sensitivities on the achievability of management’s financial and operating forecasts

  • Address key accounting and financial reporting risks to purchase agreement negotiations

Scope of Internship

As a Summer Financial Analyst from June – August 2024, you will be teamed with a highly experienced and dedicated group of M&A Transaction Advisory professionals, which will provide you broad exposure to M&A transaction issues. You will have a unique opportunity to work on live transactions across a variety of industries on an investment banking platform, providing exposure to the broader corporate finance and capital markets industries. You will develop and extend your financial and interpersonal skills as you perform M&A financial and accounting due diligence related to the purchase and sale of private and public companies. Responsibilities – Financial and Accounting Due Diligence

  • Participate in buy-side and sell-side M&A due diligence engagements

  • Analyze company financial information and other data to identify items such as historical and projected financial and operating trends and potential liabilities and risk which impact valuation and negotiation of the target company

  • Build industry skills and qualifications

  • Support group strategy, marketing, and client development efforts
