Job Description

Position Overview

The Corporate Paralegal I will support the Legal department primarily with ongoing corporate entity governance and compliance, including maintaining accurate corporate records, managing jurisdictional filings, and assisting with corporate governance documentation while working cross-functionally with other teams within the organization to meet project needs


Responsibilities

  • Lead corporate entity management support, including (i) formation, maintenance, qualification, and dissolution of legal entities, (ii) preparation and filing of annual reports and required state filings in Delaware and all other jurisdictions, (iii) creation and maintenance of corporate organizational charts and ownership records, (iv) conducting UCC and lien searches as part of due diligence processes, and (v) facilitating officer and director appointments, removals, and updates

  • Conduct legal entity name availability and conflicts checks for proposed entities across multiple jurisdictions, including Delaware, and escalate potential conflicts or compliance issues to senior legal team members prior to formation or registration

  • Assist in the preparation of corporate governance documentation, including resolutions, written consents, secretary and incumbency certificates, membership interest assignments, and support senior paralegal team members by coordinating, obtaining, and tracking required manual and electronic signatures

  • Support transaction closing processes, including preparation of signature packets, coordination with transaction participants, and addressing issues to support timely closings

  •  Maintain accurate and up‑to‑date corporate records, files, and entity management systems for Invenergy’s portfolio of U.S. and Canadian legal entities, supporting governance, audit readiness, and compliance objectives

  • internal and external legal teams and business stakeholders, including Development, Finance, Tax, and Treasury, on entity‑related and governance matters in connection with project development, financing, construction, and operations

  • Aid in the development and delivery of virtual and in‑person training for commercial business teams regarding corporate governance requirements, legal policies and procedures, and the use of the company’s entity management systems

  • Promote the consistent application of Invenergy’s corporate governance standards and procedures to ensure the integrity and ongoing compliance of the company’s legal entity structure

Minimum Qualifications

  • Minimum of 1-2+ years of professional work experience, preferably in a legal setting

  • Paralegal certificate from an accredited paralegal education program, or equivalent experience

  • Strong organizational, time management, and oral and written communication skills

  • Working knowledge of legal procedures, forms, documents and terminology

  • High attention to detail

  • Ability to prioritize and meet deadlines without sacrificing quality of work product

  • Ability to work independently and collaboratively, depending on the situation

  • Excellent interpersonal skills with the ability and desire to work effectively in a team environment

  • Proficient in MS Office products, including Word, Excel, Outlook, Adobe, SharePoint and PowerPoint

  • Eligible to work in the United States without the need for employer visa sponsorship now or in the future 

Preferred Qualifications

  • Experience with corporate transactions in a law firm setting

  • Experience in construction, development and/or renewable energy sector is highly preferred

  • Active Illinois notary

Base Pay

26.00 - 33.99 USD Hourly
