Job Description
The Senior Legal Counsel position reports to the Associate General Counsel, EMEA and supports the Carbohydrate Solutions business unit (with facilities in Bulgaria, France, Turkey and Morocco) as well as Oilseeds business unit and Joint Ventures in EMEA region.
Job Responsibilities
Business and Contract law
- Drafting, reviewing, and negotiating complex agreements and other legal documentation (including General Terms & Conditions). · Following best market practices and implement them into ADM contracts.
- Providing internal training on contracts, antitrust matters, and changes to legislation for non-lawyers (Commercial/Sales teams).
- Handling pre-court claims and settlements.
- Developing legal strategy, supervising and managing external counsels in court litigations an arbitrations.
- Advising on regulatory issues related to the food production sites in EMEA.
- Supporting joint ventures of ADM with third parties.
- Legal support in cross-border M&A transactions.
- Drafting corporate resolutions required in relation to corporate, commercial, or financing transactions for multiple jurisdictions in EMEA.
- Conducting and supporting communication with public authorities.
- Communicating with senior management and other ADM locations.
- Legal admin support.
- Fully qualified lawyer in any jurisdiction in EMEA. Licensed to practice law and membership in good standing of a bar association (as applicable).
- At least 10 years post-qualification experience in legal area in-house or in reputable law firm. International experience is obligatory.
- Knowledge and practice of contract law, food and feed regulatory requirements, customs and exports requirements, commercial litigations, good understanding of compliance programs. Experience in corporate law, transactions and M&A is strongly preferred.
- Fluent in English. Knowledge of any other language spoken in the EMEA region, in particular French, is a plus.
- Ability for cross-functional team work, working with different jurisdictions and languages.
- Excellent negotiations, analytical and problem solving skills.
- Verbal and written communication and presentation skills to communicate effectively with others at all levels of the organization.
