Job Description

The Manager, Product Privacy and Contracting position is responsible for privacy and contracting considerations, reporting into Senior Vice President of Product Operations. 

Key Responsibilities:

Role is responsible for providing operational support across Product landscape, including:

  • Privacy:  meeting with privacy legal subject matter experts, disseminating details of laws impacting Product development and delivery, and tracking/reporting progress on privacy action items. 
  • Contracting:  reviewing/editing contract drafts relative to in-scope Product deliveries, supporting negotiations/redlines of supplier contracting, and coordinating contract execution relative to Products across dentsu teams. 
    • Contract Development and Authoring:
      • Applies best practices to develop contracts (Statements of Work, Amendments, Letters of Authorization) in coordination with applicable dentsu teams (e.g., IT, HR, Finance, Privacy, Legal, etc.)
      • Identifies opportunities to minimize/mitigate contract risk
      • Draft and/or review contracts for compliance with company policy and vendor/supplier terms
      • Prepare and present contract/commercial risk assessments to leadership, as required
    • Contract Processing and Tracking:
      • Collaborate with teams to understand the Products and how Products are being deployed in engagements
      • Apply process controls to verify contract documents are fully approved and vetted internally before presenting to applicable counterparty (client or supplier)
      • Perform reviews/edits in timely fashion, and record in applicable contract management processes/systems
      • Track, maintain processing statistics and report on contract work, including via relevant dashboard metrics.
    • Negotiations:
      • Assist teams in contract negotiations, including identifying and ranking issues/risks
      • As requested, provide clarifications on contractual terms purpose/intent
    • Process and Template Development:
      • Coordinate template updates, secure/document necessary approvals, and store in centralized template repository

Qualifications

Key Skills/Experience:

  • Keen attention to detail, with an ability to spot errors and identify key risk areas in a contract.
  • Strong verbal and written communication skills including spelling, grammar, and distillation of RFP-like statements into contractual responsibilities/legal requirements
  • Excellent interpersonal skills and ability to communicate in a professional and timely manner with varying seniority levels
  • Strong ethics, integrity, and values including ability to maintain confidentiality with respect to agreement contents and other highly sensitive business matters
  • Possess the ability to adapt to changes, delays, or unexpected shifts in priorities while maintaining focus and productivity in a high-volume environment

Qualifications:

  • Bachelor's degree in Finance, Business, IT, Paralegal, English, or related field
  • Experience preferred in Information Products, Data, Digital Agency, or similar organization
  • 5+ years in Contracts development, Procurement, Risk management, Vendor oversight, Finance, Law, Business, or combination thereof
  • Advanced working knowledge of the Microsoft Office Suite (e.g. Word, Excel and PowerPoint, including PDF to Word conversions and Word document comparison), and with contract management applications

Additional Information

The anticipated salary range for this position is $78,000 - $126,500. Actual salary will be based on a variety of factors including relevant experience, knowledge, skills and other factors permitted by law.
