The Assistant General Counsel (AGC) is responsible for providing legal counsel and guidance to West Virginia United Health System, its member hospitals including, West Virginia University Hospitals, and the clinical practice plans of West Virginia University (collectively, the Organizations), in all areas of contracting, including group purchasing organization relationships, and supply chain contracting. The Assistant General Counsel is responsible for the day-to-day advice and counsel in drafting, negotiating, and reviewing a wide range of agreements, including those in connection with the Organizations’ group purchasing organizations, supply chain, joint ventures, and similar contracting and documentation arrangements. The Assistant General Counsel is also responsible for other day-to-day duties as assigned by the AVP and/or the Vice President and Deputy General Counsel or the Chief Legal Officer (CLO).

MINIMUM QUALIFICATIONS:

EDUCATION, CERTIFICATION, AND/OR LICENSURE:

1. Juris Doctor.

2. West Virginia Bar membership or eligibility.

EXPERIENCE:

1. Three (3) years of substantial experience in a law firm or in-house legal department in the areas of corporate, contract, and regulatory law.

EXPERIENCE:

1. Experience in the following areas (i) contract drafting, review, and negotiation, (ii) group purchasing organizations and/or procurement, and (iii) Medicare Fraud and Abuse and Stark laws.

CORE DUTIES AND RESPONSIBILITIES: The statements described here are intended to describe the general nature of work being performed by people assigned to this position.  They are not intended to be constructed as an all-inclusive list of all responsibilities and duties.  Other duties may be assigned.

1. Prepares, reviews, and assists with negotiating contracts for the Organization, including, but not limited to, group purchasing organization (GPO) agreements.

2. Prepares, reviews, and assists with negotiating procurement-related agreements, including but not limited to purchase and sale, product purchase, consignment, rebate, consulting, information technology, and other miscellaneous agreements. 

3. Provides regular legal guidance and advice to the Organizations’ management team on a wide variety of legal matters related to procurement matters and various health care joint ventures of the Organizations, including compliance with fraud and abuse and Stark laws.

4. Provides day-to-day advice to management and personnel regarding contracts and regulatory obligations for the Organizations’ group purchasing organization.

5. Is knowledgeable of legal trends and standards which regulate health care facilities and patient care and works to ensure compliance with these standards.

6. Provides advice regarding compliance with Medicare and Medicaid fraud and abuse, Stark, and tax exemption.

7. Develops and provides education and training programs to the Organizations’ contracting agents on key purchasing and contracting negotiation points and legal topics. 

8. Develops policies and procedures for the agreement submission and review process and drafts template agreements and updates for the supply chain operations. 

9. Responds in a timely manner to requests for advice or information.

10. Prepares and reviews contracts and/or agreements between the Organizations and outside agencies or organizations.

11. Demonstrates regard for the dignity, respect, and safety of all patients, family members, visitors, and personnel as defined in the philosophy of such organizations.

12. Displays a caring and courteous attitude and represents such organizations in a positive manner to all persons 100% of the time.

13. Maintains the confidentiality of patient and department information 100% of the time.

14. Promotes and contributes positively to intradepartmental and interdepartmental relationships.

15. Adheres to applicable dress codes as observed by supervision.

16. Adheres to applicable safety policies and procedures 100% of the time.

17. Maintains proper attendance and punctuality to ensure that such organizations are operated in an efficient and cost-effective manner.

18. Maintains proper attendance and reports to work on time in accordance with applicable policies.
