Microsoft has an immediate opening for a dynamic, highly motivated, and experienced attorney to join our U.S. Corporate, External and Legal Affairs (CELA) team in the Customer & Partner Solutions Group for the U.S. Health & Public Sector Industries in the role of Principal Corporate Counsel. This attorney will primarily support Microsoft’s Education (K-12, Higher Ed, and Academic Medical Centers) Sales and Services organization in the sale of cloud computing services (including artificial intelligence), devices, and professional services (product support and consulting). And as may be necessary, provide the same support to other HPSI verticals; including Health and Life Sciences vertical and the U.S public sector business verticals Federal and State & Local Government. Ideally, this position will be in the Washington, D.C. metropolitan area, though other locations may be considered.
Responsibilities
- Drafting, negotiating, and advising business clients relative to complex cloud computing, Gen AI, devices, professional services, teaming, non-disclosure, and other agreements with Education industry customers (K-12 and Higher Ed), and Microsoft Education partners in the U.S
- Providing strategic advice on industry procurements, various transaction agreements, and acquisition methods, as well as procurement matters; including supporting RFx responses and protest matters
- Providing strategic advice and guidance on rapidly changing privacy, cybersecurity, artificial intelligence, procurement, and other regulatory and policy issues impacting the sale of Microsoft products and services to Education customers
- Providing other necessary general legal advice and counsel to business clients primarily in the areas of ethics and compliance, antitrust law, intellectual property law, privacy law, cybersecurity, dispute resolution and corporate citizenship.
Qualifications
Required/Minimum Qualifications
- Juris Doctor Degree or international equivalent degree AND 4+ years experience as a transactional attorney or contracting professional with experience in negotiating Education, Academic Medical Centers, and/or State & Local Government cloud computing, software licensing, systems integration, and other complex software-related agreements.
- OR equivalent experience.
- Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.

- This position requires verification of citizenship due to citizenship-based legal restrictions. Specifically, this position supports United States federal, state, and/or local government agency customers and is subject to certain citizenship-based restrictions where required or permitted by applicable law. To meet this legal requirement, and as a condition of employment, the successful candidate’s citizenship will be verified with a valid passport.
Preferred Qualifications
- Minimum of 3 years' experience as a transactional attorney in-house, a law firm, and/or educational institution is a plus
- Analytical, drafting, and negotiation skills
- Demonstrated ability to work efficiently, be agile, bold, and curious, meet demanding deadlines and balance multiple tasks in a fast-paced environment with minimal supervision
- Working knowledge of Microsoft Office, including Outlook, Word and PowerPoint
- Ability to work independently and partner effectively in a team environment
- Demonstrated customer, client, colleague, and culture obsession
Legal Counsel IC4 - The typical base pay range for this role across the U.S. is USD $129,200 - $227,500 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $162,000 - $243,000 per year.
