We actively seek a Senior (Sr.) Corporate Counsel to join the Legal department’s North American (NAMER) Transactions team within the Americas region. This is a remote position and can be based in the East or Central time zones in the U.S.
Position Summary
The Sr. Corporate Counsel will join our North American team of commercial transactions counsel, contributing deep expertise in US Federal and other government contracts law and strategic partnerships. The Sr. Corporate Counsel will be primarily responsible for drafting, reviewing, and negotiating a wide variety of commercial contracts, including master services agreements, statements of work, amendments, and vendor-facing service agreements, licensing agreements, and other contracts to support the company’s business. In addition, this role will particularly focus on providing legal guidance with respect to federal, state, and local government contracting, as well as concentrated support helping the company pursue complex technology partnerships. The Sr. Corporate Counsel also will be responsible for other legal services and advice as needed based on Rimini Street’s diverse and evolving needs. This position will report to the Senior Director & Managing Counsel, NAMER Transactions.
Essential Duties & Responsibilities
- Draft, review, negotiate and close a wide variety of client-facing commercial contracts, with a special emphasis on negotiations involving public sector and strategic partner counterparties
- Advise internal stakeholders on all aspects of Federal and SLED government contracting
- Provide legal support for strategic alliances and technology partnerships
- Work closely with business partners in Sales, Finance, Ethics & Compliance, Intellectual Property, Service Delivery and other organizations within Rimini Street to successfully close transactions in a manner consistent with company’s policies and best interests
- Provide other legal services and advice to the company as needed
Education
- Graduate of an accredited American law school and currently licensed to practice law in the employee’s state of residence

Remote US - East or Central time zones
Experience, Skills & Desired Attributes
- At least 7-10 years of relevant experience as a commercial transactions attorney in private practice, in-house or government, with at least 5 years focused on government contracts
- In-depth knowledge of the FAR, DFARS, and other federal procurement regulations.
- Understanding of how federal, state, and local agencies procure and use technology solutions, including experience with pre-award, award, and post-award phases, contract modifications, and closeouts.
- Demonstrated ability to structure, negotiate, and close complex partnership agreements, including reseller, teaming/co-marketing, referral and other arrangements
- Familiarity with global partnership frameworks, export controls, and cross-jurisdictional legal considerations
- Ability to perform the essential duties and responsibilities of the position, as described above and as modified from time to time based on Rimini Street’s diverse and evolving needs
- Exceptional written and verbal communications skills
- Excellent judgment and sound decision-making
- Ability to interface professionally and effectively with all levels of personnel internally and externally, up to and including senior executives and other key personnel
- Ability to work both independently as well as collaboratively as a team player
- Excellent analytical and problem-solving skills
- Experience supporting an internal sales organization strongly preferred
