The Senior Corporate Paralegal will support the William Blair Legal & Compliance team in the areas of corporate governance, entity management and corporate transactions. Serving as a key point of contact and resource, the Senior Corporate Paralegal will work directly with leaders and stakeholders both within the L&C department as well as other groups. The Senior Corporate Paralegal will be responsible for housing information regarding William Blair and responding to AML/KYC requests about the firm. Working directly with the General Counsel, the Senior Corporate Paralegal will also be responsible for maintaining corporate books and records and general organizational files.

Responsibilities include but may not be limited to:

  • Maintain global firm-wide entities in good standing, including filing annual reports, paying annual fees and keeping registers up to date.
  • Assist with board and committee meeting preparation – preparing agenda, collecting materials, disseminating to directors.
  • Prepare and maintain corporate structure charts and subsidiary affiliate lists.
  • Assist with coordination and execution of incumbency certificates, board resolutions and related documents for corporate activities.
  • Prepare and file formation/dissolution and governing documents for legal entities
  • Manage and maintain changes in officers and directors.
  • Maintain entity corporate records, including resolutions, and organizational documents
  • Create and maintain a compliance calendar for legal entity filings and entity governance events.
  • Prepare and collate information for KYC/AML requests.
  • Maintain and update authorized signers and financial authorizations lists; provide guidance in signing authority as needed.
  • Monitor and manage legal notices and service of process.
  • Download subpoenas and receive service.
  • Support General Counsel in file maintenance and other paralegal tasks as needed.

Additional Responsibilities may include:

  • Drafting of meeting minutes.
  • Organization of corporate files, electronic litigation, and subpoena files.
  • Assist with subpoena collection and response.
  • Assist with Suspicious Activity Report (SAR) requests.

Qualifications:

  • Bachelor’s degree required.
  • Paralegal certificate from ABA approved program.
  • 8+ years of experience in entity management, corporate governance or corporate transactional work at in-house legal department or law firm.
  • Understanding of legal entity governance, including purpose of different roles and documents, how to maintain entity filings in good standing in multiple jurisdictions, how to effect transactions.
  • Familiarity with maintaining corporate books and records.
  • Familiarity with appropriately executing and filing legal agreements.
  • A strong sense of professionalism and discretion.
  • Extremely organized with exceptional attention to detail.
  • Ability to work efficiently, paired with the ability to independently manage and execute.
