Contracts Attorney

11:11 Systems is looking for an experienced Contracts Attorney to draft, negotiate, and review supplier, customer and partner contracts; liaise with internal business team members to understand their contract needs; and assist with compliance & legal operations and internal team processes. This role requires an organized, detailed, efficient, and independent individual who has a strong interest and prior experience in contract drafting and negotiation. Prior experience working with IT, SaaS, or cloud hosting industry-type contracts are a plus. This is a JD-required position and applicants must have an active law license.

This role is primarily remote with occasional travel as needed. This role reports to 11:11 Systems’ SVP of Legal & Compliance.

Responsibilities

The job duties are as follows:

• Lead and work alongside other team members negotiating, drafting, updating and maintaining company contracts including (i) customer and partner agreements; (ii) supplier procurement and service agreements; (iii) marketing promotional terms; and (iv) other corporate transactional agreements.
  
• Actively participates in meetings with suppliers and customers in a professional manner during the contract negotiation lifecycle.
• Assist compliance team with developing adequate and effective compliance controls; Develop new and maintain existing Compliance Policies and Procedures for legal and regulatory compliance.
• Provide legal guidance to business and work with external counsel on a variety of legal matters including contracts, marketing promotions, collection, bankruptcy and litigation.
• Maintain the organization’s legal docket and provide regular updates to SVP Legal and Compliance and leadership team regarding the status of pending matters.
• Work alongside the contracts team and sales operations team to implement new contract management system to store customer documentation.
• Work alongside the Procurement team to implement new vendor contract paperwork and procedures.
• Maintains and updates the organization’s legal documentation in line with the organization’s processes across various systems.
• Support the organization’s legal positions by developing company responses and defenses to complaints, investigations, and administrative proceedings.
• Stay current with legal developments; anticipate future legislation impact on business operations; ensure compliance with legal and regulatory requirements; and advise leadership team on necessary or recommended changes.
• Partake in professional development and educational opportunities by attending continuing legal education training, reading professional publications, maintaining personal networks and participating in professional organizations.
• Maintains law license and other credentials in active good standing.

Requirements

• J.D. required.
• Minimum of 5 years’ experience practicing law

• At least 3 years of contracts negotiations (preference given to those with a background in IT or cloud hosting contracts)

• Ability to quickly learn and master new areas of law and technology.

• Willing to travel up to 10% of the time.

• High degree of attention to detail is essential for success in this role.

• Strong interpersonal and communication skills is essential.
