Job Summary
Hanover Bank is looking for a full time Internal Audit Manager (“IAM”). The IAM is the senior, independent member of management responsible for the administration of the Bank’s Internal Audit function, which is designed to provide the Audit Committee with an independent assessment. The IAM will perform its duties with impartiality and not have functional reporting to any member of Bank management who has responsibility for day-to-day operations.
Essential Job Duties and Responsibilities
- Act as audit liaison between the Audit Committee and the outsourced internal audit firms, including coordinating and overseeing outsourced Internal Audit activities and performing appropriate oversight and due diligence of third-party outsourced internal audit firms.
- Lead the development and implementation of the Bank’s third-party outsourced internal audit firms’ annual risk and control assessments of the Bank’s significant business lines and report the results to management and the Audit Committee.
- Document the business processes, risks, and associated controls utilizing matrices, narratives, flowcharts, and/or internal control questionnaires.
- Lead the development and implementation of the third-party outsourced internal audit firms’ annual audit plans utilizing a risk-based approach and present the plans to management and the Audit Committee.
- Maintain audit issue tracking in the Bank’s Audit Management software and follow-up with management on items coming due and/or past due items, including obtaining audit deferrals from management as needed and presenting such to the Audit Committee.
- Oversee the collection of audit and examination issue remediation updates from auditees.
- Perform issue closure validation on matters identified by third-party outsourced internal audit firms and/or regulatory agencies.
- Lead the design and implementation of the Bank’s Sarbanes-Oxley Section 404 and FDICIA testing programs on behalf of Bank management and coordinated the testing activities with third-party outsourced internal audit firms.
- Assist the Corporate Secretary in preparing the Audit Committee agenda and minutes and prepare meeting materials for Audit Committee meetings.
- Maintain Audit Committee and Internal Audit Charters.
- Maintain and update Audit policies, procedures, and documentation to ensure adherence to professional practice standards established by the Institute of Internal Auditors (“IIA”).
- Approve the audit scope, plan, and procedures performed by the outsourced audit firms.
- Review and concur with audit work, including findings, conclusions, and recommendations performed by the outsourced audit firms.
- Perform Quality Assurance reviews of internal audits performed by third-party outsourced internal audit firms utilizing a risk-based approach.
- Coordinate the collection and aggregation of quarterly management FDICIA attestations.
- Complete annual attestation under FDIC regulations for Annual Independent Audits and Reporting Requirements codified under §363.
- Coordinate with regulatory examiners during routine examinations to address Internal Audit requests and/or inquiries timely.
- Support and coordinate efforts with the Bank’s Chief Risk Officer with certain legitimate roles of the Bank’s ERM Program as allowed for under the IIA’s Position Paper: The Role of Internal Auditing in Enterprise-Wide Risk Management including:
- Facilitating identification and evaluation of risks.
- Coordinating ERM activities.
- Consolidated reporting of risks.
- Maintaining the ERM framework
- Participate as a non-voting, advisory member in various Board- and management-level committee meetings as required.
