The Contracts Operations Manager provides oversight, management, coordination, negotiation, and other support for company contracts with customers, subcontractors, vendors, and others. This role will, among other duties, develop and manage company’s database of active contracts, participate directly in contract negotiation, including interfacing with customers, subcontractors, and others, develop and manage the company’s policies and risk management related to contracts and contract formation, and also act as a knowledgeable resource for helping leadership and other employees understand the information and requirements in particular contracts, including answering questions about contracts and contract requirements on an as-needed basis, and relaying information and coordination with internal departments. If a contract dispute arises, this role will also be expected to provide information and other support toward the dispute resolution process.

Duties & Responsibilities:

  • Assisting in formulating and implementing company policies, preferences, and risk tolerances for particular contracts or types of contracts and ascertaining appropriate negotiating goals and strategies for those contracts and types of contracts.
  • Creating, maintaining, overseeing, and organizing contract templates, including identifying which templates should be used in which contracting situations and acting as a knowledgeable company resource related to those templates and their usage.
  • Drafting, reviewing, redlining, and negotiating contracts with customers, contractors, subcontractors, vendors, suppliers, and others. Duties also include but are not limited to assessing potential risks involved with proposed contractual agreements, reviewing and ensuring company’s ability to comply with contract requirements, implementing company policies and preferences and managing risk tolerances during the negotiation process, and identifying items and issues for legal review by company’s attorneys.
  • Obtaining and coordinating necessary signatures and other information for execution and finalization of company contracts. Duties include educating company internal divisions and personnel about authority structure for contract signatures and being a knowledgeable resource about company contracting authority structures.
  • Coordination and oversight of subcontract formation and negotiation, including all large value subcontracts entered into between company and subcontractors, including with respect to work orders, exhibits, notices, change orders, and other formal documentation.
  • Drafting, or assisting internal teams with drafting, work orders, formal notices, responses to formal notices, and other project specific documentation and correspondence.
  • Communicating as needed with project personnel to perform assigned tasks.
  • Developing and maintaining database and repositories of active company contracts and acting as a knowledgeable resource as to what those contracts require and being able to answer questions posed by leadership and/or other employees related to those contracts.
  • Ascertaining and recognizing when legal or other advice is needed or should be sought, elevating issues to leadership, coordinating with company advisors to obtain needed advice.
  • Administering contract proposals, including as part of bidding processes.
  • Participating in dispute resolution process in the event there are contract-related disputes, including as a knowledgeable resource for company policies and practices.
  • Assisting with project audits on an as-needed basis.
  • Processing and responding to internal and external information requests, including on contract status.
  • Managing, overseeing, and leading the complete life cycle of the Company’s contracts (from initial request to final signature and contract distribution to final project wrap up).
