Planned Parenthood Federation of America (PPFA) is a 501(c)(3) charitable organization that supports the independently incorporated Planned Parenthood affiliates operating health centers across the U.S. Planned Parenthood Action Fund is an independent, nonpartisan, not-for-profit membership organization formed as the advocacy and political arm of Planned Parenthood Federation of America. The Action Fund engages in educational, advocacy, and electoral activity, including grassroots organizing, legislative advocacy, and voter education.
Planned Parenthood Federation of America (PPFA) and Planned Parenthood Action Fund (PPAF) seek a Senior Director of National Board Affairs. This job reports to the Vice President of National Board and Membership Affairs in the Office of the General Counsel division of PPFA. The National Board and Membership Affairs department of the Office of the General Counsel division provides innovation and leadership to ensure that governance practices across Planned Parenthood governing entities at the National Boards and Membership level are conducted in a compliant manner that reflects the values and furthers the mission of Planned Parenthood. The ideal candidate is a detail-oriented, multi-tasker who will be responsible for developing and managing the governance functions and compliance of the PPFA National Boards and Board Committees. They will ensure alignment of the various governance bodies at the National and Federation level with the goals and objectives of the Board Chairs and the President/Chief Executive Officer. The Senior Director, National Board Affairs, must be able to consistently provide National Office and local PP organization colleagues with definitive and reliable advice regarding the interpretation and application of the bylaws, committee charters and other governance documents and best practices. This job reports to the Vice President of National Board and Membership Affairs in the Office of the General Counsel division of PPFA.
Purpose:
●To provide high-level, strategic guidance and develop new and innovative processes to advance the governance work, efficiency and compliance of the National Boards and National Board Committees; ●Develop, implement and coordinate a board committee engagement strategy, including new committee members’ orientation and existing members’ training to ensure that members of the National Boards and National Board Committees understand their duties and functions and are provided with the appropriate information and engagement for them to fulfill those duties and functions;●To ensure compliance with the industry standards for good governance practices across the National Boards and Committees;●To ensure that any matter requiring awareness of, input from, or approval of the National Boards is presented in a compliant manner through oversight and execution of the Quarterly Board and Committee meetings and any other Special Meetings in accordance with PPFA Bylaws.●To work with the Vice President of National Board and Membership Affairs in the ongoing review of board committee roles, responsibilities and structure, ensure clarity and accountability, and make recommendations to ensure effectiveness and identify areas for additional support or change
Delivery:
●Develop and provide oversight for workplans and governance processes for the National Boards and Committees through collaboration with the Office of the President and key support departments at the PPFA National Office;●High-level, strategic oversight of an organized and informative experience for all members of the National Boards and Committees;●Provides governance and parliamentary guidance during fiduciary meetings●Provides high-level, strategic guidance to National Board Chairs and Chairs of Committees of the National Boards;●Develop and implement processes for coordination of timely National Board and Committees incoming and outgoing transparency communications;●High-level, strategic oversight of an organized and informative experience for New Board Members and Voting Delegates of the Action Fund Membership at Annual and Special Membership Meetings;
