Summary
CHS has an exciting opportunity in our Legal team. We are looking for a Senior Paralegal, Corporate, whose primary role will be to provide paralegal support for corporate governance as a core member of CHS’s Legal team.  

This position must operate with a high level of competence, organization, accuracy, independence, and professionalism. You must have a practical, process-focused orientation and the ability to thrive with deadlines in a fast-paced environment. Additional critical success factors for this position include: passion for good governance and interest in playing a critical role in the health of the cooperative system, excellent communication skills and the ability to manage multiple, changing priorities efficiently, using discretion and judgment in executing assignments with high confidentiality, and the ability to work collaboratively with others and with a team approach to issues.
 

Responsibilities

Primary Job Responsibilities:

  • Domestic and international subsidiary and JV corporate governance program
    • Maintain corporate minute books and electronic company records, including in CSC platform
    • Develop and administer processes for updates to corporate details including:
      • Entity names
      • Governing documents
      • Entity type
      • Assumed name/dba/trade name filings
      • Foreign qualification filings
      • Registered agent
      • Ownership and transfer of ownership units
      • Mergers and Dissolutions
      • Officers and Directors
  • Develop standard templates and manage change requests 
  • Support annual reporting for international entities
  • Evaluate external vendor support
  • Manage new entity formation and dissolution processes
  • Develop key corporate entity reports for internal posting
  • Support development of organizational charts
  • Support requests for certificates of incumbency, secretary’s certificates, and other business documentation (certificates of good standing, etc.)
  • CHS Board process support
    • Collection and posting of Board and Committee meeting materials on Board Vantage portal
    • Maintain electronic Director and Board Candidate Handbooks
    • Support for governance related processes as needed by Corporate Secretary
  • Support for Member-Owner governance activities, including Annual Meeting preparations

 
 

Minimum Qualifications (required)

  • High School Diploma or equivalent; associate’s degree (two years) in paralegal. 

  • 5 to 7 years as a corporate paralegal in a law firm and/or law department.
