Job Description
Wilshire seeks an experienced in-house paralegal for a full-time position in the Los Angeles area. The position reports to the General Counsel and will provide the candidate with the ability to shape the corporate governance and entity management function for the firm.
What you'll do:
- Provide support to the Wilshire Group Board and the Board’s Audit Committee, including scheduling Board and committee meetings, organizing and distributing meeting materials, taking and preparing meeting minutes, and maintaining Board and Audit Committee files.
- Prepare responses, documents and certifications for KYC/AML requests.
- Update and maintain the Wilshire Group organization chart.
- Provide support to the Wilshire Group Finance team with entity annual report filings, annual general meeting documentation, audit requests, banking documentation and other documentation.
- Provide support to private market transactions as requested, including ordering good standing certificates and certified documents, arranging for notarizations and apostilles, and providing officer certificates and other documentation as required.
- Liaise with corporate services firms and outside legal counsel worldwide to undertake U.S. and international corporate formalities for Wilshire Group entities.
- Prepare resolutions to appoint directors, officers, and authorized signatories of Wilshire Group entities and maintain authorized signatory lists.
- Manage process for and prepare monthly and quarterly compliance reports for the Wilshire Group’s Australian entities.
- Provide support for the quarterly Board meetings of the Wilshire Group’s offshore entities, including liaising with the corporate secretary, organizing and distributing meeting materials and maintaining entity records.
- Perform other related duties and assignments as required and as assigned.
Qualifications
- At least 8 years of experience as a corporate governance paralegal, preferably with experience in the financial services industry.
- Proficiency in Microsoft Office (Word, PowerPoint, Visio, Excel)
- Excellent time management skills with a proven ability to meet deadlines.
- Excellent critical thinking and problem-solving skills.
- Excellent organizational skills and attention to detail.
- Ability to communicate effectively and with poise, both written and verbal, and interact with senior stakeholders and board members all across the Wilshire Group.
- Ability to maintain confidentiality and to exercise discretion and good judgment.
- Flexibility to adjust priorities to meet changing timeframes and requests.

The pay range for this position is $100,000-$120,000/year. However, base pay will be determined on an individual basis considering various factors, including location, qualifications, skills, and experience. The total compensation package includes eligibility for an annual discretionary bonus and a full range of health and financial benefit offerings, which will be provided in conjunction with an offer of employment.
