Sr Corporate Counsel - Corporate Governance

Zurich North America has an outstanding opportunity for a talented attorney to serve as Corporate Counsel in the Corporate, Transactions and Governance Team within our prestigious Corporate Law department located out of our headquarters in Schaumburg, IL.
The Senior Corporate Counsel will provide legal advice and support on all Corporate Governance matters including but not limited to:
- Monitoring new and developing corporate governance related trends and best practices
- Recommending modifications to and drafting corporate charters, bylaws, policies, procedures and guidelines
- Preparing corporate certificates and resolutions
- Providing legal support to the Corporate Secretary, including the drafting, preparation and review of Board of Director meeting materials
- Ensure compliance with all corporate governance policies and guidelines, recommend revisions to policies and processes as needed for compliance and continuous process improvement
- Drafting materials to advise directors and officers regarding necessary corporate approvals
- Update and maintain a corporate entity management database or other system with information on legal entities, entity officers and board of directors, and corporate records for such entities
- Support legal and business unit personnel, as needed (e.g., M&A and other transactional matters; due diligence; audits; litigation responses)
This is a very fast-paced and hands-on position, requiring a high degree of self-motivation and ability to interface with various groups of business stakeholders and leaders.
- Must be able to work independently and have own areas of responsibility under general supervision
- Must have solid analytical skills and ability to juggle multiple priorities
- Must be business-oriented, flexible, and open-minded
- Must have excellent interpersonal skills
Basic Qualifications:
- Juris Doctor and 6 or more years of experience in the Legal area
AND - Member of the Bar
- Knowledge of NILS, Lexis or WestLaw
Preferred Qualifications:
- Prior corporate governance experience
- Project management skills
- Excellent communication skills
- PC literate with working knowledge of Microsoft Office software and Lexis or Westlaw
- Insurance industry experience
- Previous in-house experience
- Strong organizational and analytical skills
- Familiarity with Office 365 suite of applications
