Lead Analyst/Assistant Manager – Corporate Secretarial
The opportunity
This is an exciting opportunity to join a fast-growing team within EY. Based in the GCO Enablement Team in GDS India, the role will support the member firm GCO Teams on Corporate Secretarial and entity management matters. You will provide secretarial and entity governance support to the business and become a trusted adviser of stakeholders (often at senior level). You will be expected to assess and understand how firm risks can be best managed and mitigated.
Your responsibilities
Key responsibilities will include the following:
- Supporting corporate secretarial compliances and matters of EY member firms forming part of the Global delivery network.
- Drafting agenda, notices, resolutions, annual report and minutes.
- Statutory filings, maintenance of statutory registers of such entities.
- Assist the legal team in ensuring that board, committees, and management bodies are compliant with local legislation and regulation.
- Work with various GCO teams across delivery centres to provide support and act as a point of contact on corporate secretarial matters and entity governance/management matters.
- Well versed with applicable compliances under Companies Act, LLP Act.
- Have a thorough understanding and appreciation of general key business risks that need to be managed (training will be facilitated in respect of EY’s specific risk management framework)
- Runs a series of reports to assess data quality for information held on the Global Corporate Database as well as investigates and/or rectifies any gaps or anomalies in this information. Also assist in preparation of reports to be submitted to statutory authorities.
- Managing a Compliance Calendar report in order to notify relevant entities of any outstanding actions; warn them of any upcoming deadlines relating to the filing of Annual Returns or Accounts; and ensure all data relating to compliance with filing requirements is populated on the Global Corporate Database and kept up to date.

Experience and qualifications
- Company Secretary, with 6 to 8 years of experience in managing corporate secretarial and entity governance matters.
- Previous corporate secretarial experience at a professional services firm is preferred
- Interest in the area of risk management or compliance
- Confidence in delivering subject matter content to peers and seniors (to facilitate training either in person or via MS Teams)
