About the role

Auctane is seeking a motivated and highly qualified Senior Corporate Paralegal to provide a wide range of support to the Legal team.

**This position is located in Austin, TX and is hybrid/onsite Tues/Wed/Thurs

What will you be doing?

• Corporate Governance:
• Oversee and manage corporate governance matters related to the company's structure, investors, and lenders.
• Provide advice on equity plan matters and collaborate with HR on the administration of the equity plan.
• Collaborate closely with HR, tax, and accounting colleagues to ensure seamless coordination.

• Entity Formation and Compliance:
• Manage state and foreign entity formation, compliance reporting, and qualifications.
• Document corporate authorizations, including subsidiary minutes, powers of attorney, resolutions, and corporate records.

• Due Diligence Support:
  • Collaborate with the corporate development and legal team to conduct due diligence reviews for mergers, acquisitions, or other strategic transactions
  • Assist in the preparation and organization of due diligence materials.

• Intellectual Property (IP) Support:
  • Coordinate with outside IP attorneys to manage and maintain the company's intellectual property portfolio.

• Records Management:
  • Oversee the maintenance and organization of legal department records.
  • Ensure compliance with document retention policies.

• Bankruptcy and Litigation Management:
  • Evaluate and manage communication-related to bankruptcy and litigation matters.
  • Coordinate with outside counsel, the customer, and the executive operations team on third-party responses regarding litigation and investigations.

• Specialized Projects:
  • Collaborate with other members of the legal team on specialized projects and initiatives.

What are we looking for?

• Minimum 5 years of corporate paralegal experience
• Strong organizational and analytical skills
