Associate Counsel – Commercial & Compliance provides legal assistance on issues assigned by General Counsel, or the designee of General Counsel. This position handles a wide variety of legal matters concerning the Company and its affiliated entities across multiple jurisdictions. This position ensures best practices, risk mitigation, integrity, and compliance are incorporated into the work product and corporate culture and advises executive management of any improvements and corrective actions. Associate Counsel – Commercial & Compliance must be highly adaptable, motivated and efficient in a fast-paced working environment. The candidate must also be flexible and demonstrate a willingness to take on tasks and projects as needs arise. Associate Counsel – Commercial & Compliance should be an excellent writer, researcher, and communicator with a serious attention to detail, and an ability to problem-solve and multi-task independently. Associate Counsel – Commercial & Compliance must also possess strong presentation, collaboration and negotiation skills, while also demonstrating excellent judgment and integrity.
Responsibilities- Researching, reviewing, drafting, interpreting, negotiating, and enforcing a variety of commercial, transactional, and other legal documents, including: leases (real property and equipment), license and information technology, procurement, sales, consulting, service and vendor contracts, confidentiality, marketing, private label, product resell, international distributor agreements, energy and transportation agreements, distribution & licensing agreements, nondisclosure agreements, insurance, and noncompete agreements and other matters relevant to the Company’s business operations. Executing cross-functional collaboration with all levels of the organization, including: commercial, engineering, finance, human resources, information technology, supply chain, operations, procurement, and product management team lead(s) to assess business opportunities from a contractual risk and profitability perspective. Analyzing, summarizing, and advising management on legal matters and/or documents and their respective implications and/or legal liabilities; effectively balancing legal risks against business interests while ensuring compliance with applicable laws and regulations. Advising and collaborating with the finance department and key stakeholders regarding insurance requirements, contractual obligations, and best practices
- Managing and advising business teams on intellectual property portfolio (in the United States and abroad) including: registration, maintenance, protection, enforcement, and opportunity for exploitation with specific focus on Company trademarks and participation in Company Intellectual Asset Council.
- Supervising, advising, and collaborating with outside counsel on transactional, compliance, corporate, and litigation matters, and directing project milestones, deadlines, and budgetary parameters. Responding to legal notices received by the Company, including records requests, subpoenas, and court orders
- Assists with Company’s antitrust and trade compliance matters in collaboration with cross-functional teams, including third party screenings and negotiation of international sales and agency agreements
- Demonstrates expertise and broad understanding in a variety of corporate compliance concepts, practices, and procedures in the relevant industry and provides leadership and ownership of said concepts. Prepares materials and compliance status reports for internal management and regulatory agencies as required. Researching, revising, and developing Company programs, policies, procedures and template agreements to ensure that all business units comply with federal, state, and local laws, regulations, and contractual commitments. Manages the monitoring of business activities for compliance with applicable rules and regulations, legal trends, policy developments, and industry landscape. Responsible for analyzing proposed and established legislation, preparing legal documents, and reviewing Company policies and updating operating manuals and procedural documents when regulations change; prepare and distribute communications on ethics and compliance matters as necessary; and attending continuing legal education trainings and implementing evolving best practices to advance Company’s strategic plan. Plans and implements company-wide educational efforts, including, workshops and trainings for key Company stakeholders on pertinent legal topics and issues. Collaborate with team members to implement remedial actions.
Education / Skills / Knowledge • Bachelor of Arts or Bachelor of Science degree • Juris Doctor degree from an American Bar Association (ABA) accredited law school • Requires admittance to practice law in the United States in good standing (preferably Pennsylvania)
