Senior Corporate Counsel - Commercial Transactions

PagerDuty is seeking a Senior Corporate Counsel – Commercial Transactions to join our diverse, customer-focused Commercial Legal team! As Senior Corporate Counsel, you will report to the Senior Director, Associate General Counsel on PagerDuty’s Commercial Legal Team, and will partner with PagerDuty’s go-to-market teams as a trusted advisor on commercial transactions.
Key Responsibilities
- Draft, review, and negotiate commercial agreements end-to-end with customers and partners for PagerDuty’s SaaS offerings
- Assist in the development of contract templates, standard methodology processes, playbooks, and automation across the entire contract's life cycle, as needed
- Partner with the go-to-market sales, services, and partner teams to advise on and become a trusted advisor on all customer and deal-related matters
- Communicate complex matters clearly and solve problems practically
- Liaise with cross-functional business units (like finance, sales operations, security, product, support, and privacy) when needed to align on requested contractual terms and conditions that impact our business
Basic Qualifications
- Juris Doctor degree from an accredited law school; admitted to and in good standing with California or other State Bar Association
- At least 9 years of broad-based technology transactional experience across multiple business lines and jurisdictions, and understanding of key domestic and international regulatory requirements in the SaaS space
- Extensive experience drafting, reviewing, negotiating, and advising on different types of commercial transactions, including SaaS sales, reseller, strategic partnerships, consulting partnerships, licensing agreements, and statements of work
- Experience collaborating with other cross-functional teams supporting Sales, communicating and explaining business risks, and drafting language to reflect business stakeholder approvals and feedback
- Highly responsive with a service-oriented attitude. Expertise in balancing risk, and other legal requirements to safeguard PagerDuty’s interests/values, while ensuring revenue efforts are fully supported
- Collaborative teammate with the ability to work independently, drive results, and maintain a professional and calm demeanor
Preferred Qualifications
- Experience supporting a global sales organization, supporting international transactions, and negotiating across time zones
- Experience in public sector contracting, providing legal expertise in working with U.S. Federal and SLED end-user customers and system integrators a plus
- Experience doing business with regulated industries and understanding or interest in data privacy/data security
- Previous working experience with sales operations, finance, and operations on deal velocity projects such as contract lifecycle management, new templates, and sales training
The base salary range for this position is 168,000 - 256,000 USD. This role may also be eligible for bonus, commission, equity, and/or benefits.
Our base salary ranges are determined by role, level, and location. The range, which is subject to change based on primary work location, reflects the minimum and maximum base salary we expect to pay newly hired employees for the position. Within the range, we determine pay for an individual based on a number of factors including market location, job-related knowledge, skills/competencies and experience.
