S&P Global is seeking an experienced, practical, business-oriented and collaborative attorney to assume the role of Assistant General Counsel, Mergers & Acquisitions, reporting directly to the Associate General Counsel – Legal Head of Mergers & Acquisitions who is based in New York, USA. The Assistant General Counsel, M&A will be responsible for providing leadership, guidance, direction and execution on a broad range of global M&A activities and key strategic and business initiatives. The Assistant General Counsel, M&A will have the opportunity to partner closely with colleagues in strategy, corporate development, finance, and the people team, among others, while forming part of a collaborative legal department that is valued for its clear and concise advice.

The Assistant General Counsel, M&A is responsible for supporting a business of approximate $12 billion in revenue and over 35,000 employees world-wide, serving as a critical business partner and trusted advisor to our senior leadership team in advancing our M&A and strategic initiatives across the global organization.
The ideal candidate will be an experienced attorney with at least five (5) years of a broad range of cross-border and domestic M&A experience, and preferably prior in-house experience. The successful candidate will have excellent communication, team-building and interpersonal skills, strong judgment, an eagerness to learn about our evolving company and a passion for the financial and commodities markets and the data that powers those markets.
Responsibilities:
Independently manage and execute key strategic M&A transactions, investments and partnerships from inception to closing, including advising on structure and deal documentation and leading transaction negotiation.
Ensure all appropriate internal stakeholders and functional partners are engaged in reviewing and mitigating transaction risks, and that all transactions are executed in accordance with all applicable procedures and policies.
Develop strong relationships with internal constituents including the corporate and divisional Strategy, M&A, and Partnerships business teams and other core functional teams.
Review, draft, negotiate and/or manage outside counsel review of core transaction documents including purchase agreements, transition services arrangements, joint venture arrangements and other similar agreements.
Manage due diligence processes and coordinate requests and input from key internal stakeholders.
Prepare approval documents for various internal committees and boards of directors.
Oversee deal-related regulatory and compliance requirements; coordinate related corporate filings with corporate secretarial function.
Assist with other corporate legal matters and provide substantive support for the rest of the Legal team, as needed, including vendor/procurement agreements and licensing agreements.
Efficiently manage outside counsel with an eye toward minimizing outside counsel expense and meeting budget.
Key Requirements:
J.D. or equivalent from a top law school with exceptional academic credentials and admitted, active and in good standing in at least one US state bar.
At least five (5) years of relevant experience gained at a leading law firm and/or in-house at a financial services/data-focused company; experience with fintech M&A, ventures and partnerships a plus.
Ability to prioritize, remain organized, and execute effectively on established timelines to meet the business needs of internal clients.
Ability to work on multiple, complex transactions in a fast paced, energetic department.
A detail-oriented, self-starter attitude with the ability to think critically, operate autonomously and exercise independent judgment.
Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization.

S&P Global states that the anticipated base salary range for this position is $167,000.00-213,000.00]. Base salary ranges may vary by geographic location. In addition to base compensation, this role is eligible for an annual incentive plan.
