Job Summary
Reporting to the Chief Executive Officer, the Senior Legal Counsel acts as the company’s primary internal legal resource. This position should have experience with day-to-day legal activities including matters pertaining to contracts, IP (patents, trademarks, etc.), securities law and regulatory matters for pharmaceutical businesses. The person in this role will need to have a thorough understanding of the laws governing pharmaceutical sales and marketing in an FDA and DEA regulated environment.
Position Responsibilities
· Manage external legal counsel and ensure work is done effectively and efficiently, including but not limited to items related to litigation, IP portfolio, regulatory (e.g. FDA), SEC, etc.
· Draft and negotiate a broad range of contracts related to all aspects of the organization, including supply agreements, quality, master services, consulting, confidentiality and other normal business course agreements.
· Correspond with FDA, other regulatory agencies, customers, suppliers, and division personnel as needed both orally and in writing to address regulatory inquires, problems, or requests.
· Review promotional information and product literature to ensure FDA and FTC regulatory compliance.
· Review governmental rulings to determine changes and probable effects on facility activities.
· Help execute and maintain HIPAA and security compliance across all business units.
· Develops and manages budgets for assigned legal matters.
· Manages and as appropriate engages with outside counsel on matters associated with pending, threatened or active litigation.
· Resolve contract disputes.
· Experience with general corporate/securities matters, including’34 Act reporting compliance, including review of filings made with the SEC (10-K, 10-Qs. 8-Ks, proxy statement, insider filings, etc.).
· Excellent organization and time-management skills required. Must be able to manage heavy workload and aggressive timelines in a timely manner, prioritize and work under pressure.
· Assist on other matters within the legal department as needed.
· Perform duties in accordance with established company procedures and policies; perform other duties as assigned.
