<p>JOB TITLE: SENIOR LEGAL COUNSEL EMEA</p>

<p>JOB SUMMARY</p>
<p>Under minimal supervision, is responsible for (i) writing and negotiating a wide variety of agreements for internal clients, including manufacturing and supply, logistics, construction and lease, confidentiality and other general business agreements; (ii) providing legal and compliance advice; and (iii) assisting with the implementation and administration of the Company’s commercial compliance plan. These tasks will relate to the activities of our commercial organization and manufacturing site in EMEA.</p>
<p>ESSENTIAL DUTIES AND RESPONSIBILITIES<br/>
</p>
<ul>
<li>Manage all aspects of contracts arising in the affected region:
<ul>
<li> send templates, adapt templates, manage signatures and file the signed contracts according to the specific rules set out by the Company Contract Management Policy;</li>
<li>Manage contracts review, draft, negotiation and approval.</li>
</ul>
</li>
<li>Prepares and maintains all corporate records prepared and/or filed with the governmental authorities relating to the existence and operation of the Company’s Northern Ireland entity.</li>
<li>Offer counsel on a wide variety of legal issues.</li>
<li>Advise Company’s executives and employees (commercial and functional departments) on contract status, legal risks and business terms of various Company arrangements and business relationships.</li>
<li>Manage projects and deadlines.</li>
<li>Keep abreast of legislative changes that may affect the Company and its affiliates in the affected region.</li>
<li>Support development and implementation of the Company’s Commercial Compliance Program and provide legal, compliance and ethics advice accordingly. </li>
<li>Perform or assist in the performance of compliance and auditing activities </li>
<li>Taking the lead on providing advice on compliance and ethics issues </li>
<li>Review advertising and marketing materials to ensure compliance with legal and compliance requirements.</li>
<li>Develop solutions to complex legal questions and liaise with external counsels when necessary.</li>
<li>Provide training to Terumo BCT associates on substantive legal and compliance topics.</li>
<li>Other duties as assigned which are reasonably within or extensions of the scope of the above listed duties or those included in the Company Strategy Map.</li>
</ul>
<p>MINIMUM QUALIFICATION REQUIREMENTS</p>
<p> </p>
<p><u>Education</u></p>
<p>Master in Law, preferably in common law or private law.</p>
<p> </p>
<p><u>Experience</u></p>
<ul>
<li>Minimum 10 years of experience in relevant legal work in an international company, with preferably a portion of this time spent in healthcare (medical device or pharmaceutical) industry or in a manufacturing site.</li>
<li>Experience with contract management</li>
<li>Experience with EU legislation</li>
<li>Experience with commercial compliance issues, including anti-bribery legislation and industry codes of conduct such as the MedTech Europe.</li>
</ul>

<li>Requires excellent knowledge of English (both verbal and written).</li>
<li>Knowledge of any other European language would be a plus.</li>

<li>Ability to interact effectively with associates at all levels in all businesses and apply skills of influence and persuasion.</li>

<li>Skilled at working independently while coordinating with other attorneys, paralegal and administrative staff.</li>
<li>Demonstrated ability to quickly establish trust and rapport with other personnel.</li>
<li>Understands business implications of decisions and knowledge of market and competition.</li>
<li>Efficient at handling multiple projects.</li>
<li>Requires strong organizational, analytical, interpersonal and time management skills.</li>
<li>Requires strong presentation skills to facilitate the effective delivery of training</li>
<li>Knowledge of Word Processing, Spreadsheet, Database, and Internet software. </li>

<p>ADDITIONAL INFORMATION</p>
<ul>
<li>Based: Zaventem (Belgium) Office – remote location can be considered.</li>
<li>Reporting to: Deputy General Counsel EMEA </li>
<li>Flexibility to travel: less than 10%.</li>
