How You’ll Make a Difference
We are seeking a dynamic corporate attorney with a strong track record of providing excellent legal support across multiple subject matter areas to join our team as Associate General Counsel. Reporting to the Chief Legal Officer, you will interact with colleagues across all departments and levels at Arcellx to provide practical advice that balances business needs with legal risks.
The “Fine Print” – What You’ll Do
- Provide legal support for a variety of corporate, research, commercial and business development transactions, including strategic collaborations, license agreements and MSAs.
- Manage one or more direct reports responsible for reviewing, drafting, and negotiating various research and commercial contracts.
- Provide legal review of scientific and commercial/marketing materials, working cross functionally with Intellectual Property counsel, Medical Affairs, Regulatory Affairs, Commercial and other departments.
- Work with Finance colleagues and external counsel to support SEC filings and ensure compliance with SEC reporting and disclosure requirements, including collaborating with senior management, independent auditors and Board members.
- Proactively identify and mitigate legal risks, partnering with cross-functional teams to develop and implement effective legal strategies.
- Support the Chief Legal Officer in reviewing external communications including press releases, investor presentations, and other public announcements.
- Support the Chief Legal Officer in designing and implementing company-wide compliance programs applicable to clinical and commercial stage publicly traded biotechnology companies.
Skills and Experience We Look For
- Juris Doctor degree from an accredited U.S. law school.
- Licensed and a member in good standing with one State bar; registered (or willing to register) with the California State Bar.
- Minimum of 10 years’ relevant experience, including experience in the life sciences industry and/or in a law firm servicing life sciences clients. Candidates with less experience may be considered at the director level.
- Experience with intellectual property, regulatory, and compliance matters relevant to the drug development process.
- Experience with SEC filing and compliance matters.
- Exceptional problem-solving skills, business judgment, and ability to think strategically and provide practical, tailored advice.
- Exemplary leadership, collaboration, communication, and interpersonal skills.

The base salary range for this position is $300,000 - $340,000 per year. Where a candidate falls within that range is determined by factors such as years of experience. Our compensation package also includes an annual bonus based on company goals and an equity (RSU) grant. We do offer relocation assistance for roles if required.
