Director of Contracts & Compliance

The Director of Contracts Role is a direct report to the Chief Ethics & Compliance Officer (CECO) / VP of Legal & Contracts. The qualified candidate will possess a deep understanding of the interplay of Government Regulations in business operations and the requirements of Government Procurement Regulations in particular in relation to compliant operations within the defense industry. The successful candidate will play a pivotal role in the assessment of need, development and/or refinement of STR policy and process to maintain compliant business operations including the development of associated employee training material. The Director of Contracts role requires a deep understanding of federal procurement Regulations for Department of Defense Contracting including related IC regulations. This role requires a team player that is willing to step in tactically, provide counsel to internal stakeholders, manage Contracts team members, advise Senior STR Management, and identify areas for process development and efficiency. The Director possesses a mix of strategic, tactical, operational, and subject matter expertise necessary to implement STR’s defined business vision and strategic objectives.
Key Responsibilities
- Support the CECO with monitoring organizational business compliance via risk assessment, training, providing guidance to stakeholders, and policy development.
- Working with the Contracts Leadership team to implement and champion the Contracts function strategic vision as defined by VP, Legal & Contracts.
- Collaborate with VP Legal & Contracts to develop and implement effective contract management strategies, job aides, training material, processes, and procedures.
- Manage and/or mentor Contracts team members as needed.
- Operate consistently with STR’s Code of Ethics and Business Conduct, and as a business leader, model these values in all activities and interactions.
- Assist CECO with Ethics & Compliance SharePoint content and maintenance.
- Provide on-call subject matter expertise to functional staff, STR stakeholders and alternate POC for external customer issues.
- Actively engage as assigned Contracts POC or support operating Contracts team with complex contractual transactions e.g., pre-proposal activities, proposals, negotiations, other agreements.
- Support Contracts team as needed with proposal risk management assessments, impactful business requirements and clauses, and provide counsel on ways to mitigate business risk.
- Collaborate with other functional leads to maximize ability to meet STR-wide business objectives.
- Provide expert and strategic advice and guidance to CEO, Division Leads, and functional partners.
- Organize and maintain business records, accurate documentation, and accessibility for compliance purposes.
- Stay informed about evolving government contracting standards, trends, and best practices.
- Lead or participate in special projects as may be assigned.
Qualifications
- 15+ years of procurement-related experience in US Government contracting; DOD/IC experience a pre-requisite; past industry experience with complex DoD/IC proposals and contracting transactions highly desirable.
- Bachelor’s Degree
- Proven experience in analyzing, negotiating, and executing complex agreements including but not limited to OTAs, FAR-based Contracts, Incentive and Award Fee Plans.
- Experience with Research & Development, Prototype, and Production FAR-based contracts and Other Transaction Agreements (OTAs)
- Experience with commercial terms and conditions
- Strong communication and relationship-building skills and the ability to collaborate effectively with internal and external stakeholders.
- Ability to operate in fast-paced, evolving work environment.
- Exceptional contractual acumen, with the capacity to provide sound advice on complex procurement matters.
- Ability to collaborate, respect different views and to align with business decisions.
- Demonstrated expertise in organizing and maintaining agreement records, ensuring compliance, and supporting audits.
- A solid understanding of evolving government contracting standards and best practices in agreements.
- Leadership experience in managing high-performing teams in fast-paced environments, fostering professional development.
- This position requires a TS/SCI Security Clearance, for which U.S. citizenship is needed by U.S. Government.
