About the role
Meta is seeking a Director and Associate General Counsel to join the Legal department’s Corporate Governance team. The successful candidate is expected to operate independently in a fast-paced environment and work proactively with various teams across the organization, including executive operations, human resources, and finance.Director & Associate General Counsel, Governance Responsibilities

- Advise on governance best practices for public company’s independent board of directors and executive management, including relevant aspects of Delaware Law and listing standards.
- Provide input and direction on materials provided to the board of directors and ensure proper maintenance of books and records.
- Work closely with cross-functional partners on board compliance and development initiatives.
- Direct efforts to maintain corporate formalities in accordance with best practices.
- Develop, enhance and maintain board policies and practices.
- Collaborate with cross-functional partners on board and executive compensation matters.
- J.D. degree.
- 12+ years of relevant legal experience.
- Membership in at least one state bar.
- Experience in interpretation and application of Delaware law.
- In-house Corporate legal and Governance support of Fortune 500 public company board of directors.
- Experience leveraging organizational skills and strategic thinking, and experience working with cross-functional teams.
- Experience related to legal issues pertaining to executive compensation and related disclosure.
- Experience working with other subject matter experts in all facets of governance including talent management and HR.
- Superior communication skills with attention to detail.
- Prior experience with a Fortune 100 company.
- Prior experience with AmLaw 100 law firm.
- Deep expertise in interpretation and application of Delaware law.
- Extensive work related to legal issues pertaining to executive compensation and related disclosure. Regular interactions with C-suite.
- 5+ years in-house experience working with independent public company boards.
- Demonstrated record of increasing responsibility and interaction with executive management.
