We provide MacBooks to all employees and additional support for fully remote workers to set up their home offices.<br/> <br/> Our exceptional Time Away Policy includes 26 weeks of fully paid leave for birthing parents, 13 weeks for non-birthing parents, and extended leave for adoption, IVF, surrogacy, elective egg freezing, and women's health needs such as menopause, menstruation, endometriosis, and PCOS.<br/> <br/> Our trusting, flexible, remote-first way of working means that work can fit around your life, rather than your life fitting around work.</p><h3>Job Description</h3><p>The Commercial Operations team is focused on enabling organic and inorganic growth through contract management and negotiations, compliance management, management of legal and related services and operations, and management and mitigation of risks for the company. </p><p>The primary focus of the role is to support the work of the Adaptavist Germany General Counsel with contract and legal matters, specifically contract reviews and negotiations.</p><p><br/> Additional elements of this role are to provide support for:</p><ul><li>Development and management of contract and legal operations and processes, including maintaining contract templates, defining processes, and aligning these efforts with other departments and teams.<br/>  </li><li>Compliance topics such as data protection and privacy matters, application of DORA, e-commerce and other relevant regulations.</li></ul><p><strong>What You'll Be Doing</strong></p><ul><li><p>Independently review and negotiate (redline) legal terms of a broad range of standard commercial contracts (NDAs, MSAs, SOWs, software purchasing agreements, etc.) for clients, partners, suppliers, and others. </p></li><li><p>Working on RFPs, tenders, compliance questionnaires, including vendor onboarding, security and data privacy.</p></li><li><p>Review and potential signature of contracts of significant size, and/or recommendations to General Counsel and the Head of Commercial Operations.</p></li><li><p>Maintenance of documentation &amp; information related to contracts, and within internal contractual IT systems.</p></li><li><p>Knowledge management and enforcement of processes.</p></li><li><p>Providing “peer reviews” of departmental contract redlines and requesting such peer reviews to support a robust, quality-driven process.</p></li><li><p>Work with process specialists who manage IT systems and knowledge (i.e. document repositories, FAQs, and wikis) associated with contracts and legal support.</p></li><li><p>Balancing risk mitigation with Adaptavist's global strategy and priorities</p></li><li><p>Work collaboratively to continually improve cross-team training, playbooks, contract templates, and legal processes for effective contract management.</p></li><li><p>Compliance support, including data protection and privacy, DORA, and e-commerce directives.</p><ul><li><p>Develop and maintain a good understanding of the company's business activities, corporate privacy policies as developed by the internal compliance group, and applicable privacy laws/regulations;</p></li><li><p>Monitor, track and assess relevant laws, regulations, and industry best practices in agreed focus areas such as data privacy, DORA, e-commerce from the specific perspective of Germany and DACH legal regimes;</p></li><li><p>Assist internal compliance group with company-wide compliance program(s), as needed - for example, in the area of privacy, data management, cross-border data transfers, data subject rights, audits, and similar.</p></li></ul></li></ul><h3>Qualifications</h3><p><strong>Where we're looking for</strong></p><ul><li><p>Excellent written and verbal communication skills (Fluent German and English).</p></li><li><p>Extensive experience working on commercial contracts, particularly in a sales and procurement environment, from pre-sales to contract closeout.</p></li><li><p>Data protection, privacy and GDPR knowledge and experience.</p></li><li><p>Significant exposure to legal and contract work.
