What You’ll Do: 

As our General Counsel, you are a strategic enabler who balances fast company growth with sophisticated risk management. You will serve as a proactive business partner and advisor on complex corporate issues, moving far beyond basic legal review to offer creative deal-structuring strategies that protect our goals while mapping out calculated risks and clear guardrails. You will deliver critical guidance on corporate governance, intellectual property, and high-velocity operational matters, using deep quantitative risk analysis to show how legal decisions directly impact our valuation and long-term trajectory. Your work directly drives our corporate growth by ensuring our legal engine supports our team, customers, and partners seamlessly.

In this role, you will navigate the shadier corners of the security ecosystem, managing the unique risks of an organization that operates at the very edge of the cyber-threat landscape. You will architect our multi-year pathway to public company standards, establishing necessary corporate governance and compliance structures early while keeping our operations nimble. Whether preparing for a financing round, managing equity administration, or establishing localized frameworks for international expansion, you will maintain an ongoing state of readiness for major corporate milestones. You will protect our proprietary moat and defend us against litigation, all while ensuring the legal department operates as an automated, high-velocity engine that removes friction from our business.

Responsibilities: 

  • Guide the executive team and the Board of Directors with clear candor on governance best practices, fiduciary duties, and high-stakes business issues to ensure absolute transparency.
  • Move past standard legal review to act as an outcome-obsessed business partner, utilizing quantitative risk analysis to tie legal strategies directly to company valuation and long-term trajectory.
  • Navigate the complex cybersecurity legal landscape and regulatory changes with a warrior spirit, keeping us unassailable from a compliance standpoint while we operate at the edge of the cyber-threat environment.
  • Drive continuous IPO readiness by maintaining pristine corporate histories, up-to-date summaries, and rigorous diligence materials so we remain fully prepared for public market entry, Series E, or M&A milestones at a moment's notice.
  • Practice perfect imperfection by building the scalable legal frameworks necessary for a public company, implementing compliance and governance structures at the right level at the right time without over-engineering roadblocks.
  • Manage and defend the organization against litigation, employment matters, supply chain vulnerabilities, and privacy concerns like GDPR and CCPA to protect our business operations.
  • Demonstrate that you give a $h*t about our ecosystem by architecting an automated legal and compliance engine that handles high-velocity customer and partner agreements to drive excellent user experiences.
  • Partner with outside counsel and internal stakeholders to manage the cap table, equity-related governance, and supporting documentation with accuracy and discipline.
  • Partner closely with the Chief People and Administration Officer on equity strategy, including program design, governance, and alignment with talent, retention, and company growth objectives.
