Overview
HireRight is seeking an experienced Corporate Paralegal to join our in-house Legal team in Nashville, Tennessee. This is a highly visible role supporting corporate governance, global entity management, compliance, commercial contracting, strategic transactions, and legal operations across a global organization.
Reporting to the EVP, GC, and Chief Compliance Officer, you'll play a critical role in ensuring the legal function operates efficiently while partnering closely with the executives, finance, treasury, HR, and external partners. This position requires exceptional organizational skills, attention to detail, sound judgment, and the ability to manage multiple priorities in a fast-paced environment.
The ideal candidate is proactive, collaborative, and comfortable working both independently and cross-functionally. Experience supporting multinational corporate entities and complex legal projects is strongly preferred.
This is a hybrid role located in our downtown Nashville office.
Responsibilities
Corporate Governance & Entity Management
- Manage the full lifecycle of domestic and international legal entities, including formations, qualifications, maintenance, reorganizations, and dissolutions.
- Prepare and maintain corporate governance documentation, including board and shareholder resolutions, meeting minutes, written consents, and organizational records.
- Maintain corporate minute books and statutory records for U.S. and international entities.
- Coordinate with outside counsel, registered agents, and government authorities on entity filings and compliance requirements.
- Support corporate restructurings, mergers, acquisitions, and other strategic transactions.
Legal Operations & Commercial Support
- Draft, review, and maintain standard legal agreements, including non-disclosure agreements, services agreements, and independent contractor agreements.
- Develop, update, and maintain legal templates, policies, and departmental documentation.
- Organize and maintain legal department records and document management systems.
- Manage outside counsel engagement, budgeting, invoice processing, and legal spend tracking.
- Assist with trademark portfolio administration.
- Support corporate insurance placements and ongoing policy administration.
Cross-Functional Legal Support
- Assist with executive and director compensation matters.
- Support external audit requests and legal documentation for auditors.
- Prepare Know Your Customer (KYC) documentation for treasury and banking relationships.
- Conduct legal research on matters affecting the Company's operations and compliance obligations.
- Review legal documents for accuracy, completeness, and compliance.
- Participate in legal and cross-functional projects, helping prioritize deliverables and drive successful execution.
- Develop a strong understanding of HireRight's business to provide practical and effective legal support.
- Help ensure the efficient day-to-day operation of the Legal department.
Qualifications
Required Qualifications
- Bachelor's degree from an accredited college or university.
- Completion of an ABA-approved (or equivalent) paralegal certificate program.
- 8+ years of corporate paralegal experience, preferably supporting an in-house legal department or corporate law practice.
- Experience with corporate governance, entity management, and legal documentation.
- Strong proficiency with Microsoft Office, including Word, Excel, PowerPoint, Outlook, Teams, and OneDrive.
Preferred Experience
- Experience supporting multinational organizations and global subsidiaries.
- Exposure to mergers and acquisitions, corporate restructurings, or other strategic transactions.
- Familiarity with trademark administration and legal operations.
- Experience working with board materials and executive leadership.
