Assistant General Counsel

Reports to: General Counsel

Responsibilities:   

• Serve as a primary lawyer to review, draft and negotiate commercial agreements, such as master services agreements, data processing agreements, independent contractor agreements, licensing and vendor agreements and other contracts.
• Analyze contractual requirements and legal terms and conditions to ensure compliance with appropriate laws, regulations, and company policies and procedures.
• Foster compliance with Suvoda’s internal policies and legal and regulatory requirements.
• Identify legal and contractual risks and creatively problem solve.
• Advise internal sales, compliance, financial, and operations personnel on daily questions and long-term projects.
• Work with compliance and security teams to manage third party vendor risk management process.
• Implement scalable contracting processes.
• Perform other related duties as required.

Requirements:  

• At least 5 years' experience in a law firm, in-house legal department or equivalent setting .
• J.D. from an ABA accredited law school required.
• Member in good standing of the PA bar.
• Exceptional organizational, analytical and drafting skills with great attention to detail.
• Strong team player with a positive attitude and desire to work collectively to achieve team and company goals.
• Ability to work and think independently, possessing sound, creative problem-solving skills.
• Responsive, client-service focused and professional.
• Willingly accepts additional responsibility, challenging tasks, and/or projects and able to flexibly juggle multiple priorities.
• Strong communication (written and oral) and interpersonal skills.
