Job Overview

We are currently looking for a Corporate Counsel - Commercial Transactions to join our team onsite in Holland, MI.

As Corporate Counsel - Commercial Transactions at Haworth, you will serve as a strategic legal advisor supporting the company’s business operations, growth initiatives, and risk management objectives. This role provides legal guidance on mergers and acquisitions, commercial transactions, contract negotiation, real estate leasing, and corporate entity governance.  The attorney partners closely with the Legal Affairs and Compliance Director, senior leadership, finance, procurement, sales, and other internal business teams to deliver practical legal advice that aligns with business objectives and goals while minimizing legal risk.

Essential Functions

  • Support corporate mergers and acquisitions, which also include divestitures, joint ventures, strategic partnerships, and other corporate transactions.
  • Conduct legal due diligence reviews, with the ability to evaluate legal, regulatory, contractual, employment, litigation, and compliance risks associated with target companies.
  • Coordinate with outside counsel, investment bankers, tax advisors, and internal senior leaders to review and negotiate Letters of Intent (LOIs), Asset Purchase Agreements, Stock Purchase Agreements, Merger Agreements, Transition Services Agreements, and other ancillary transaction documents.
  • Support post-closing compliance integration activities and contract assignments.
  • Draft, review, negotiate, and manage a broad range of commercial agreements, including Master Purchase Agreements, Master Service Agreements, SaaS agreements, Direct Purchasing supply-side agreements, licensing agreements, and professional services agreements, with Haworth’s customers, dealers and distributors, designers, suppliers, technology vendors, consultants, and marketing partners.
  • Draft and update contract templates and internal processes to help manage contract review and execution.
  • Support domestic real estate transactions, including drafting, reviewing, and negotiating commercial leases, lease renewals, and amendments.
  • Partner with real estate, facilities, and finance teams on lease strategy and portfolio management.
  • Support corporate entity governance for domestic and international subsidiaries, and support maintenance of corporate records and legal entity compliance.
  • Influence and champion a compelling vision and strategy for a particular subject area or desired solution, aligning with overall business objectives and driving legal excellence.
  • Under the direction of the Legal Director, participate in large-scale transformation initiatives to enhance the impact and value of the legal function across the organization.
  • Influence enterprise-wide legal policies, procedures, and standards to ensure consistency, compliance, and best practices.
  • Using verified information, provide rationale for influencing the needs of the Legal budget and adhere to the approved budget.
  • Foster a culture of innovation, exploring and implementing new technologies, processes, and approaches to enhance legal effectiveness and efficiency.
  • Collaborate with executive leadership to align legal strategies with business goals and objectives.
  • Continuously monitor industry trends, best practices, and emerging technologies in the legal field to maintain a competitive advantage and drive continuous improvement.

  • Performs other duties within scope as assigned.

Required Qualifications

Education:

  • Juris Doctorate from accredited law school.
  • Licensed and in good standing to practice law within the United States.
