As an Assistant General Counsel – Corporate and Securities focusing on Corporate Governance and Securities Law at Argo Group, you will play a key role in the delivery of white glove customer service to our business partners and in providing legal advice on Argo’s corporate and securities-related activities. You will work closely with the other members of the Legal and Compliance Department to ensure compliance with relevant laws and regulations, mitigate legal risks, and help drive Argo’s strategic business objectives. This role will report to and work out of Argo’s New York Office.
Responsibilities:
- Corporate Governance: Provide advice and counsel on corporate governance matters, including board meetings, drafting of Board minutes and resolutions, and compliance with corporate bylaws.
- Securities Compliance: Assist in ensuring compliance with federal and state securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934, New York Stock Exchange Rules, as applicable.
- Regulatory Filings: In collaboration with Argo’s Assistant General Counsel - Corporate and Head of Group Compliance, prepare and file required regulatory documents, as applicable.
- Risk Assessment: Identify legal risks or potential issues to ensure proper applicable corporate governance and proactively provide advice to the General Counsel and the Company’s business leaders on potential legal issues.
- Transactional: Provide legal advice on mergers, acquisitions, divestitures, and joint ventures as needed and directed.
- Other Legal Matters: Assist the General Counsel in all other areas as needed, including managing litigation and providing employment counseling as directed.
- Legal Research: Stay up to date on changes in corporate and securities laws and regulations and provide guidance to the General Counsel and the Company’s business leaders on the impact or potential impact on the company.
In addition to the main responsibilities listed above, you will be expected to:
- Effectively collaborate with other members of the Legal and Compliance team to ensure consistency in legal advice across the company.
- Work independently with attention to detail.
- Apply legal knowledge and insight to all aspects of the business.
- Function with a high degree of professionalism, respect for others and the business, ethics and integrity.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active and in good standing with the bar of the State of New York.
- Minimum of 5 years of relevant experience as an attorney with a focus on corporate and securities law, preferably in an in-house or law firm setting.
- Strong foundation in corporate law and securities law matters.
- Strong understanding of federal and state securities laws and regulations.
- Excellent written and verbal communication skills.
- Ability to work collaboratively in a fast-paced, team-oriented environment.
- Strong analytical and problem-solving skills.
- Attention to detail and the ability to manage multiple projects simultaneously.
- Demonstrated ability to provide practical and strategic legal advice.
