The Business
Our recently launched credit platform (“Evergreen Credit”) acts as a direct lender to residential real estate investors. We source, underwrite, structure, originate, and manage a variety of asset-backed debt instruments, ranging from term loans to highly structured growth facilities. We are seeking an attorney with transaction experience in real estate finance for the position of Legal Counsel within the growing Evergreen Credit team.
This is a unique opportunity to be an early hire and strategic member of the Evergreen Credit team, and the position also represents a rare blend of a traditional legal counsel for a credit business with an entrepreneurial business-building startup role.
This office-based position may be in either Dallas Downtown or New York City, with a 4/1 hybrid work schedule available.
The Role: This position includes, but is not limited to, the following responsibilities:
- Be the first dedicated legal hire for the Evergreen Credit platform; contribute to all aspects of the business, including loan originations and overall corporate development
- Collaborate with business team on the structuring and execution of loan transactions
- Work with external counsel to review, draft, and negotiate loan documents
- Drive execution on loan transactions and coordinate with Borrowers; oversee the completion of legal documentation, legal due diligence, and other workstreams
- Perform legal diligence for loan transactions; identify and communicate transaction risks and help define scope of legal diligence for different loan transactions
- Improve and help implement operations, policies, and procedures for lending program
- Update and maintain form documents and term sheets for various loan structures
- Draft, review, and negotiate legal documentation for capital partner relationships
- Maintain relationships and correspond with legal counsel counterparts at capital partners
- Manage the end-to-end process of license applications and renewals for Evergreen Credit and ensure compliance with all licensing and other applicable legal and regulatory requirements
- Organize and maintain all legal documentation across the Evergreen Credit business
- Manage external counsel relationships
- Draft, review, and negotiate legal contracts with third party vendors and business partners
Qualifications and Experience
- Juris Doctorate (JD) from a U.S. law school and strong academic background
- Active bar membership in relevant jurisdiction(s)
- 4-6+ years of relevant legal and transaction experience in structured or asset-based finance, preferably at a top-tier law firm or financial institution
- Direct experience with real estate finance: mortgages/deeds of trust, title, escrow
- Experience drafting or reviewing loan agreements, master loan purchase agreements (MLPAs), servicing agreements and other legal documentation related to asset-based finance
- Experience with licensing and compliance obligations for real estate finance originators, brokers and lenders
- Thinks critically and proposes commercial, business-oriented solutions that combine excellent judgement, creativity and technical expertise
- Thrives in a fast-paced, rigorous work environment; effectively prioritizes and meets deadlines
- Self-starter who demonstrates a high-level of ownership and drive; strong attention to detail
- Collegial and transparent with a high level of integrity
