Assists the Vice President (“VP”) and Executive Services Manager (“ESM”) with legal matters related to real estate and finance.
Responsibilities:
The Corporate Paralegal is responsible for, but are not limited to, the following:
1. Conduct any and all communications with our customers, prospects, applicants, residents, or coworkers in a manner consistent with the Company’s Customer Service Program and philosophy.
2. Adhere to all Company policies and procedures.
3. Assist with the preparation and completion of assigned research projects and/or special tasks as requested, which may require facility with deeds, mortgage documents, financial documents, leases, contracts, easements, GSC operating procedures and policies, corporation and partnership structures, and basic accounting concepts.
4. Assist and follow through on company legal matters, including drafting and/or revision of documents.
5. Staff meetings with VP and ESM to include:
- Discuss new/recurring matters and prioritization to include incoming mail
- Calendar-review for prioritization of upcoming due dates/deadlines
- Executive Department and Paralegal Project Task List review
6. Responsible for corporate organization and reporting requirements for all entities:
- Maintain and update 150+ corporate minute books/files to include Corporations/Partnerships/L.L.C.s
- Review Ownership/Organizational Diagrams for accuracy and making necessary changes as needed
- Drafting organizational documents including corporate/special consents
- Prepare annual consents and minutes for corporations
- File/renew entity annual reports/registrations/assessments/registered agents and pay associated fees to the applicable states/localities
- Apply for new business licenses (as needed) and annually renew and pay fees to the applicable states/localities
- Maintain Assumed/Fictitious/Trade Name reference lists
- Apply for new Federal Employer Identification Numbers (FEINs) as needed and maintain list of active/inactive FEINs
- Complete and distribute IRS W-9 forms to requestor(s)
7. Assist VP and ESM with tasks related to real estate acquisitions, dispositions and loan closings including, but not limited to:
- Summarize purchase contracts
- Deposit payments, request extensions and notices to exercise options
- Set up new file system for printed material and electronic shared drive(s)
- Assistant liaison with financing institutions and attorneys, as needed
- Distribution of property information to co-workers, lenders, attorneys and consultants
- Order third party reports/assessments such as appraisals, property condition and environmental; review for problem areas and resolution thereof
- Order title insurance; review for problem areas and resolution thereof
- Order boundary surveys; reviewing for problem areas and resolution thereof
- Maintain closing checklist summaries and provide post-closing follow-up to ensure all final documents are received from outside sources, such as attorneys, title companies, brokers and lenders.
- Distribution and transfer of documents, as needed, to staff and co-workers, especially those documents needed for transferring responsibility post-closing
- Store final/updated documents to MFiles (document management system) in printed permanent files as needed and CD storage;
- Property additions/changes to company/department reference /lists
- Update loan listing related to lines of credit, apartment loans and cross-reference on Ownership Diagrams
- Update new/changed information to Executive Department Database (MS Access)
8. Telephone, mail, and clerical duty back-up as needed and in the absence of the VP, ESM and Executive Assistant II.
