Profile Summary:
Associate Counsel will support a range of legal department responsibilities. Candidates should have 4-6 years of experience in contract drafting and negotiations and familiarity with employee benefits products and services (such as supplemental health products, disability, stop-loss insurance, and administration of account-based plans like Health-FSAs and HRAs).
Profile Description:
- Associate Counsel will work with supervising attorneys to support a broad range of legal department responsibilities including, but not limited to:
- Collaborating with the various business lines (insurance products, claims, complaints, privacy, information security, strategic sourcing, operational risk, business-line legal, and brand/marketing organizations) to identify areas of risk; researching and counseling the Company on options to resolve identified issues.
- Drafting, reviewing, and negotiating various agreements including Client Service Agreements, Business Associate Agreements, Confidentiality Agreements, settlement agreements, and more.
- Playing a significant role in providing practical, legal, and business advice to the Company’s employees and counseling employees and management on legal and strategic matters.
- Working closely with internal departments to ensure all stakeholders’ interests are covered during agreement negotiations.
- Partnering with Privacy and IT teams to respond to data security inquiries and data questionnaires from customers.
- Overseeing data collection, use, access, and transfers with very specific data protection issues to ensure compliance with legal and internal standards, as well as standards that may be imposed contractually.
- Effectively communicating regulatory and procedural changes and important issues to affected employees and business units.
- Directing and managing outside counsel as needed.
- Working on other issues and areas affecting Company business and operations as required.
Knowledge & Experience:
- Have earned a Juris Doctor (or equivalent degree) from an accredited law school.
- Current and active member in good standing of a U.S. state and/or federal Bar Association.
- Have been a practicing lawyer for at least 4 years.
- Prior in-house experience preferred.
- Possess excellent oral and written communications skills, including the demonstrated ability to prepare and orally deliver detailed, concise and effective memoranda, briefings, slides and other decision materials to executive staff and Company personnel.
- Have a demonstrated ability to manage multiple, complex issues simultaneously.
- Demonstrate a commitment to a collegial work ethic, including mentoring and collaboration.
- Ability to work well with a large number of stakeholders.
- Experience with leave laws (FMLA, state equivalents) is a plus but not required.
