The Corporate Governance team is situated within the Corporate Strategy organization and provides support for the AmeriHome Executive Committee’s oversight and governance activities. Corporate Governance also performs a range of oversight and support functions designed to promote control effectiveness, reduce operational risk, and optimize audit and exam outcomes.The EVP, Corporate Governance will lead the AmeriHome Corporate Governance team which coordinates and monitors audit, governance, enterprise risk, and related activities within AmeriHome operating units.
The EVP, Corporate Governance also works closely with risk partners and teams at AmeriHome’s parent company, Western Alliance Bank (WAB). - Audit and Exam Coordination
- Supervise audit and exam coordination for investor, regulatory, and other third-party exams, as well as internal audits and second line testing in all areas of AmeriHome’s operations
- Ensure appropriate managers and internal subject matter experts are engaged with each audit/exam and that all deadlines are completed on time
- Oversee the management of evidence requests and review materials for completeness and appropriateness
- Maintain master tracking schedule for one-time and recurring exams
- Issues Management
- Assist in the development of management action plans and monitor control remediation
- Oversee the tracking and reporting on open issues and remediation status in partnership with WAB’s Business Controls Testing (BCT) team
- Address issue escalations with AMH and WAB second line of defense teams and Internal Audit
- Enterprise Risk Initiatives
- Coordinate engagement between WAB’s risk units and AmeriHome business managers to ensure appropriate participation in and completion by AmeriHome of all bank requirements including the annual Business Continuity Management (BCM) lifecycle
- Ensure compliance with WAB’s risk policies, including the Model Risk Management and Critical Spreadsheet policies
- Oversee and facilitate coordination with WAB’s Business Controls Testing (BCT) team to ensure the Risk and Control Inventories (RCIs) are accurate, up to date, and compliant with WAB standards
- Manage risk and control assessments and ensure timely completion
- Identify control gaps and oversee the development or remediation of controls
- Support selected third-party risk management activities
- Manage or coordinate special projects as directed by the MD, Corporate Strategy and members of the AmeriHome Executive Committee
- Governance
- Coordinate committee approvals; maintain and update charters, trading authorities, and related documents
- Oversee annual policy updates; monitor procedures status and review content quality and compliance
- Develop and maintain management reporting for the Governance team
- Coordinate AmeriHome participation in Western Alliance committees
- Manage, mentor, train, and develop Corporate Governance team members
- Perform other related duties and responsibilities as required
What you'll need:
- Bachelor's degree; advanced degree or relevant certification a plus
- Minimum 15+ years working in the financial services industry
- At least seven (7) years audit experience, including supervision or management of audits and development of audit programs; additional experience in governance or risk oversight a plus
- Excellent verbal and written communication skills, including the ability to clearly communicate technical concepts and produce quality presentations for management and committees
- Strong analytical skills with the ability to collect, organize, analyze, and disseminate information with attention to detail and accuracy
- Demonstrated track record of managing multiple projects and prioritizing within a fast-paced environment
- Ability to assess issues, propose viable solutions, and drive implementation
- Experience with financial services regulatory requirements
- Ability to request and/or collect relevant information, identify potential exposures/gaps, summarize conclusions, construct recommendations, present recommendations, collaborate on the
